LINDBERGH S.P.A.: CLOSING DELL'ACQUISIZIONE DEL 100% DI EPS ENERGY.PRO.SYSTEM SRL

Pescarolo ed Uniti (CR), 29 luglio 2024 - Lindbergh S.p.A. (EGM:LDB), gruppo attivo in Italia e Francia nel settore MRO (Maintenance, Repair and Operations) per l'offerta di servizi di logistica per le reti di assistenza tecnica, nel settore waste management/circular economy e nel settore HVAC (Heating, Ventilation and Air Conditioning), rende noto che, in data odierna è avvenuto il closing dell'operazione di acquisizione del 100% di EPS Energy.Pro.System Srl, storica azienda di Lecco operante nel settore termotecnico impiantistico, il cui preliminare d'acquisto era avvenuto in data 27 giugno con relativo comunicato stampa.

Lindbergh, attraverso la propria controllata Smit Srl, ha acquistato il 100% di EPS Energy.Pro.System Srl per un valore complessivo pari a euro 2,4 milioni, compresa la PFN (cash positive, al netto del TFR, per circa Euro 400.000). La Società precisa che, rispetto a quanto definito e comunicato in fase di accordo preliminare, il pagamento in data odierna di € 780.000 è avvenuto interamente per cassa, senza l'assegnazione di 50.000 azioni Lindbergh S.p.A., che rimarranno quindi a disposizione del Gruppo.

L'attività di EPS Energy.Pro.System Srl si concentra principalmente nella vendita, installazione e manutenzione di impianti per il gas, apparecchi termici, di riscaldamento e di climatizzazione, impianti ad energie rinnovabili e di trattamento aria e ventilazione.

Si segnala che l'operazione non è da considerarsi significativa ai sensi dell'art. 12 del Regolamento Emittenti Euronext Growth Milan.

Lindbergh S.p.A. è a capo dell'omonimo Gruppo attivo in Italia e Francia nel settore MRO (Maintenance Repair and Operations) per l'offerta di servizi, prodotti e soluzioni di logistica per le reti di assistenza tecnica. Il Gruppo è attivo altresì nell'offerta di servizi di Economia Circolare e Waste Management e dal 2023 è entrato nel settore HVAC (Heating, Ventilation and Air Conditioning). LINDBERGH S.P.A.: CLOSING OF THE ACQUISITION OF 100% OF EPS ENERGY.PRO.SYSTEM SRL

Pescarolo ed Uniti (CR), July 29, 2024 - Lindbergh S.p.A. (EGM:LDB), a Group that operates in the MRO (Maintenance, Repair and Operations) sector in both Italy and France, providing logistics services for technical support networks, in the waste management/circular economy sector in the HVAC (Heating, Ventilation, Air Conditioning) sector, announces today the closing of the transaction for the acquisition of 100% of EPS Energy.Pro.System Srl, a historical company based in Lecco and operating in the thermo-technical plant engineering sector, whose preliminary purchase had been announced on 27 June.

Lindbergh, through its subsidiary Smit Srl, has acquired 100% of EPS Energy.Pro.System Srl for a total value of € 2.4 million, including the NFP (cash positive, net of severance indemnity, of ca. € 400,000). The Company clarifies that, with respect to what was defined and communicated in the preliminary agreement, today's payment of € 780,000 was made entirely in cash, without the assignment of 50,000 Lindbergh S.p.A. shares, which will therefore remain at the Group's disposal.

The business activity of EPS Energy.Pro.System Srl is mainly focused on the sale, installation and maintenance of gas, heating and air-conditioning equipment, renewable energy and air treatment and ventilation systems.

It should be noted that the transaction is not to be considered significant pursuant to Article 12 of the Euronext Growth Milan Issuers' Regulations.
