IL CDA APPROVA I RICAVI CONSOLIDATI DI GRUPPO AL 31 MARZO 20251

CONCLUSA CON SUCCESSO L'ACQUISIZIONE DEL RAMO DI AZIENDA DI ALFATERMICA SRL

Pescarolo ed Uniti (CR), 30 aprile 2025 – Il Consiglio di Amministrazione di Lindbergh S.p.A. (EGM:LDB), Gruppo che offre servizi nei settori MRO (Maintenance, Repair & Operations), HVAC (Heating, Ventilation, Air Conditioning) ed Economia Circolare, ha approvato in data odierna i ricavi consolidati e per Business Unit al 31 marzo 2025, non soggetti a revisione contabile.

Al 31 marzo 2025, il Gruppo Lindbergh ha registrato ricavi consolidati pari a circa Euro 7.6 milioni. Questo risultato è il riflesso delle performance delle singole Business Unit attraverso le quali il Gruppo opera:

▪ Network Management

La Business Unit Network Management, che dal 31 dicembre 2024 include anche i ricavi della Business Unit Warehouse Management, eroga servizi logistici a supporto delle reti di tecnici manutentori itineranti ed è il core business storico del Gruppo. Al 31 marzo 2025 la divisione ha registrato ricavi complessivi pari a circa Euro 3.1 milioni (41,5% dei ricavi consolidati).

▪ Waste Management/Circular Economy

La Business Unit Waste Management/Circular Economy è attiva nella realizzazione di progetti complessi nell'ambito della gestione di rifiuti speciali e dell'Economia Circolare al servizio di molteplici settori industriali. Al 31 marzo 2025 la divisione ha registrato ricavi complessivi pari a circa Euro 1.1 milioni (14,3% dei ricavi consolidati).

▪ HVAC (Heating, Ventilation, Air Conditioning)

La Business Unit HVAC, presidiata dalla controllata SMIT S.r.l., opera nel settore della termoidraulica e si distingue per le sue strategie di crescita tramite acquisizioni di aziende storiche localizzate sul territorio italiano. Avviata nel 2023, questa divisione sta registrando una forte espansione e, al 31 marzo 2025, è la Business Unit con i ricavi maggiori, pari a circa Euro 3.4 milioni (44,2% dei ricavi consolidati).

Si ricorda che il Gruppo adotta i principi contabili internazionali IAS/IFRS e si precisa che non sono indicati dati comparativi relativi al primo trimetre 2024 in quanto il perimetro del Gruppo non risulterebbe omogeneo a valle della vendita delle attività in Francia realizzata nel corso del mese di dicembre 2024.

PERFEZIONAMENTO DELL'OPERAZIONE "ALFATERMICA S.R.L."

Facendo seguito a quanto comunicato in data 7 gennaio us (cfr. comunicato stampa), Lindbergh ha perfezionato in data odierna l'operazione di acquisizione del ramo di azienda di Alfatermica S.r.l., effettuata tramite la società Idro Calor S.r.l., facente capo a SMIT S.r.l e controllata dal Gruppo Lindbergh.

Idro Calor ha integrato il ramo di azienda operativo di Alfatermica S.r.l., azienda con sede a Parma specializzata nella riparazione e manutenzione di impianti di riscaldamento, condizionamento, bruciatori e refrigerazione. Con questa integrazione, Idro Calor – azienda storicamente orientata al settore del riscaldamento – completa la gamma dei servizi erogabili sull'intero territorio servito. Il closing dell'operazione è avvenuto ad un controvalore complessivo di Euro 260.000.

Questa operazione rappresenta un ulteriore passo avanti verso strategia di Lindbergh, che, attraverso la controllata SMIT, intende creare la prima realtà industriale italiana capace di offrire, su scala nazionale, servizi specializzati di assistenza tecnica ed installazione nel settore della termoidraulica. Si ricorda che l'operazione non è da considerarsi significativa ai sensi dell'art. 12 del Regolamento Emittenti Euronext Growth Milan.

Si ricorda, infine, che Lindbergh ha programmato un incontro online con gli azionisti per il prossimo 6 maggio 2025, alle ore 16:30 (cfr. comunicato). BOARD OF DIRECTORS APPROVES CONSOLIDATED REVENUES FOR THE GROUP AS OF MARCH 31, 20251

SUCCESSFUL COMPLETION OF THE ACQUISITION OF THE BUSINESS BRANCH OF ALFATERMICA S.R.L.

Pescarolo ed Uniti (CR), April 30, 2025 - The Board of directors of Lindbergh S.p.A. (EGM: LDB), a Group providing services in the MRO (Maintenance, Repair & Operations), HVAC (Heating, Ventilation & Air Conditioning), and Circular Economy sectors, today approved the Group's consolidated revenues, detailed per Business Unit, for the period ending March 31, 2025, which are not subject to financial audit.

As of March 31, 2025, the Lindbergh Group reported consolidated revenues of approximately €7.6 million. This result reflects the performance of the individual Business Units through which the Group operates:

▪ Network Management

The Network Management Business Unit, which starting from December 31, 2024 also includes the revenues of the Warehouse Management Business Unit, provides logistics services to support networks of service technicians and represents the Group's historical core business. As of March 31, 2025, the division reported global revenues amounting to approximately € 3.1 million (41.5% of consolidated revenues).

▪ Waste Management/Circular Economy

The Waste Management/Circular Economy Business Unit is active in implementing complex projects related to the management of industrial waste and Circular Economy services for various industrial sectors. As of March 31, 2025, the division reported global revenues amounting to approximately € 1.1 million (14.3% of consolidated revenues).

▪ HVAC (Heating, Ventilation, Air Conditioning)

The HVAC Business Unit, managed by the subsidiary SMIT S.r.l., operates in the HVAC sector and is distinguished by its growth strategies through acquisitions of historic companies located throughout Italy. Launched in 2023, this division is experiencing strong expansion and, as of March 31, 2025, is the Group's most performing Business Unit, with revenues amounting to approximately € 3.4 million (44.2% of consolidated revenues).

Please note that the Group applies the international accounting standards IAS/IFRS, and that no comparative data for the first quarter of 2024 are provided, as the Group's perimeter would not be homogeneous following the sale of the French operations completed in December 2024.

FINALIZATION OF THE "ALFATERMICA S.R.L." BUSINESS BRANCH ACQUISITION

Following up on what was communicated on January 7th (see press release), Lindbergh successfully completed today the acquisition of the business branch of Alfatermica S.r.l., through the company Idro Calor S.r.l., a subsidiary of SMIT S.r.l., which is fully controlled by the Lindbergh Group.

Idro Calor has integrated the business division of Alfatermica S.r.l., a Parma-based company specializing in the repair and maintenance of heating, air conditioning, burner, and refrigeration systems. With this integration, Idro Calor - a company historically focused on the heating sector – thus completes its range of services across the territory it serves. The total value of the transaction is € 260.000.

This acquisition represents a further step towards Lindbergh's strategy, as the Group, through its subsidiary SMIT, aims to create the first Italian industrial entity capable of offering, on a national scale, specialized technical assistance and installation services in the thermohydraulic industry. It is noted that the transaction is not to be considered significant pursuant to Article 12 of the Euronext Growth Milan Issuers' Regulation.

Finally, it is reminded that Lindbergh has scheduled an online meeting on May 6, 2025, at 04:30PM (CEST) as already communicated through press release.
