Director and PDMR Dealing

Likewise Group plc (AIM:LIKE), the fast growing UK floor coverings distributor, announces that it has been notified that, on 8 July 2022, Chief Executive Officer Tony Brewer, Non-Executive Director Andrew Simpson and PDMRs Adrian Laffey and James Kellett (together the "PDMRs"), have purchased an aggregate of 179,800 ordinary shares of 1 pence each in the Company ("Shares") at prices from 27.7 pence per Share to 28.5 pence per Share.

Following the purchases, the PDMRs are beneficially interested in the voting capital of the Company as follows:

As disclosed in the Company's General Meeting circular posted to shareholders on 22 June 2022, the PDMRs are members of a concert party with other pre-IPO shareholders (the "Concert Party"), which has been agreed with the Panel on Takeovers and Mergers (the "Panel").  In addition to the purchases by the PDMRs, the Company has been informed that Stuart Large, who is also a member of the Concert Party, acquired Shares on 8 July 2022.

These purchases have been permitted by the Panel under Note 11 of Rule 9 of the Takeover Code because (a) the purchases do not exceed 1% of the issued share capital of the Company as at 8 July 2022; and (b) the Concert Party has not exceeded the highest percentage of Shares in which it has been interested in the past 12 months. All of the purchases have been made utilising the proceeds of the Company's maiden dividend, which was paid on 8 July 2022.

As a result of these purchases, the overall holding of the Concert Party in the voting rights of the Company is now 34.10%.
