Lifecare ASA: Mandatory notification of trade
Reference is made to the stock exchange announcement by Lifecare ASA (the
"Company") on 1 June 2026 regarding the commencement of the exercise period
for Warrants Series 2 issued in connection with the partially underwritten
rights issue completed in January 2026. Each Warrant Series 2 entitles the
holder to subscribe for one new share in the Company at an exercise price of
NOK 0.24899 per share.
The exercise period for Warrants Series 2 commenced on 1 June 2026 and expires
at 16:30 (CEST) on 12 June 2026 (the "Exercise Period").
Warrants Series 2 are listed and tradable on Euronext Oslo Børs under the
ticker code "LIFES". The trading in Warrants Series 2 will be halted five
trading days before the end of the Exercise Period to facilitate settlement of
exercised Warrants Series 2. Warrants Series 2 will thus be tradable until
16:30 hours (CEST) on 5 June 2026.
Warrants Series 2 not sold on or before 5 June 2026 at 16:30 (CET) or not
exercised on or before 13 March 2026 at 16:30 (CET) will lapse without
compensation. Holders of Warrants Series 1 who do not exercise their warrants
may experience dilution of their shareholding in the Company.
The Company has been informed that Morten Foros Krohnstad, Chair of the Board
and primary insider of the Company, has purchased 2,000,000 Warrants Series 2
at a price of NOK 0.0157 per warrant.
Following this transaction, Morten Foros Krohnstad holds 1,600,000 shares and
2,000,000 Warrants Series 2 in the Company.
