PROPOSALS FOR RE-ELECTION OF DIRECTORS, GENERAL MANDATES TO ISSUE AND BUY-BACK SHARES AND NOTICE OF ANNUAL GENERAL MEETING
Capitalised terms used in the lower portion of this cover page and the first page of this circular shall have the same respective meanings as those defined in the section headed “Definitions” of this circular.
A notice convening the 2021 AGM to be held at A505, Parkview Green, No. 9 Dongdaqiao Road, Chaoyang District, Beijing, the PRC on Friday, 24 September 2021 at 10:00 a.m. is set out on pages 14 to 18 of this circular. A form of proxy for use in connection with the 2021 AGM is enclosed with this circular.
If you are not able to attend the 2021 AGM in person but wish to exercise your right as a Shareholder, you are requested to complete and sign the enclosed form of proxy in accordance with the instructions printed thereon and return the completed form of proxy to the Company’s branch share registrar in Hong Kong, Boardroom Share Registrars (HK) Limited, at Room 2103B, 21/F., 148 Electric Road, North Point, Hong Kong as soon as possible and in any event not later than 48 hours before the time appointed for holding the 2021 AGM or its adjournment (as the case may be). Completion and return of the form of proxy will not preclude you from attending and voting in person at the 2021 AGM or its adjournment should you so wish. If you attend and vote in person at the 2021 AGM, the authority of your proxy will be revoked.
In view of the ongoing Novel Coronavirus (COVID-19) epidemic, the Company strongly recommends Shareholders to exercise their voting rights by appointing the chairman of the 2021 AGM as their proxy to vote on the relevant resolutions at the 2021 AGM as an alternative to attending the 2021 AGM in person.
This circular will remain on the “Latest Listed Company Information” page of the GEM website at www.hkgem.com for at least seven days from its date of publication and on the Company’s website at www.lifeconcepts.com.

CHARACTERISTICS OF GEM
GEM has been positioned as a market designed to accommodate small and mid-size companies to which a higher investment risk may be attached than other companies listed on the Stock Exchange. Prospective investors should be aware of the potential risks of investing in such companies and should make the decision to invest only after due and careful consideration.
Given that the companies listed on GEM are generally small and mid-sized companies, there is a risk that securities traded on GEM may be more susceptible to high market volatility than securities traded on the Main Board and no assurance is given that there will be a liquid market in the securities traded on GEM.

PROPOSALS FOR RE-ELECTION OF DIRECTORS, GENERAL MANDATES TO ISSUE AND BUY-BACK SHARES AND NOTICE OF ANNUAL GENERAL MEETING
INTRODUCTION
The purpose of this circular is to provide you with information regarding resolutions to be proposed at the 2021 AGM. These include ordinary resolutions relating to, among other matters, (i) the re-election of the Directors; (ii) the granting to the Directors of the Share Buy-back Mandate and the Issue Mandate; and (iii) the extension of the Issue Mandate to include Shares repurchased under the Share Buy-back Mandate.

LETTER FROM THE BOARD
RE-ELECTION OF DIRECTORS
As at the Latest Practicable Date, the Board consists of six (6) Directors, namely Mr. James Fu Bin LU (“ Mr. James Lu ”) and Mr. LONG Hai and Ms. LI Qing Ni as executive Directors; and Mr. LU Cheng (“ Mr. Lu ”), Mr. SHI Kangping and Mr. KIM Jin Tae as INEDs.
Pursuant to Article 108(a) of the Articles, at each annual general meeting one-third of the Directors for the time being or, if their number is not three or a multiple of three, the number nearest to but not less than one-third, shall retire from office by rotation provided that every Director (including those appointed for a specific term) shall be subject to retirement by rotation at least once every three years. A retiring Director shall be eligible for re-election. Accordingly, Mr. James Lu and Mr. Lu will retire at the 2021 AGM and both, being eligible, will offer themselves for re-election at the 2021 AGM.
The Nomination Committee had assessed and reviewed the confirmation of independence of each of the INEDs, based on the independence criteria as set out in Rule 5.09 of the GEM Listing Rules and considered that all the INEDs, including Mr. Lu remain independent. In addition, the Nomination Committee had evaluated the performance of the retiring Directors during the year ended 31 March 2021 and found their performance satisfactory. The Nomination Committee also considered that the Retiring Directors’ experience, skills and other perspectives as set out in Appendix I to this circular can bring further contributions to the Board and its diversity. Therefore, upon the nomination of the Nomination Committee, the Board has recommended that all the retiring Directors, namely Mr. James Lu and Mr. Lu stand for re-election as Directors at the 2021 AGM. Each of the retiring Directors abstained from voting at the relevant Board Meeting on the respective propositions of their recommendations for re-election by the Shareholders. The Board believes that the continuous appointment of the retiring Directors contributes to the stability and diversity of the Board.
Details of the retiring Directors to be re-elected are set out in Appendix I to this circular in accordance with the relevant requirements of the GEM Listing Rules.
GENERAL MANDATES TO ISSUE AND BUY BACK SHARES
On 28 September 2020, ordinary resolutions were passed for the granting of general mandates to the Directors (i) to allot, issue or otherwise deal with additional Shares up to 20% of the total number of Shares in issue as at that date (“ Existing Issue Mandate ”), being 162,050,000 Shares; and (ii) to buy back Shares up to 10% of the total number of Shares in issue as at that date (“ Existing Buy-back Mandate ”), being 81,025,000 Shares.
The Existing Issue Mandate and the Existing Buy-back Mandate will expire upon the conclusion of the 2021 AGM. The Directors consider that the Existing Issue Mandate and the Existing Buy-back Mandate are in the interests of both the Company and the Shareholders as a whole.

An exercise of the Existing Issue Mandate enables the Company to raise additional capital of the Company from time to time. An exercise of the Existing Buy-back Mandate may, depending on market conditions and funding arrangements at the time, lead to an enhancement of the net asset value per share and/or earnings per share. Consequently, the Board recommends that these mandates be renewed by the Company at the 2021 AGM.
An ordinary resolution will be proposed at the 2021 AGM to approve the granting of the Issue Mandate to Directors to allot, issue or otherwise deal with additional Shares up to 20% of the total number of Shares in issue as at the date of passing of the relevant resolution. Subject to the passing of the relevant resolution and assuming that no further Shares are issued or bought back by the Company after the Latest Practicable Date and before the 2021 AGM, the Company will be allowed under the Issue Mandate to issue a maximum of 162,050,000 Shares, representing 20% of the total number of Shares in issue of the Company.
In addition, an ordinary resolution will be proposed at the 2021 AGM to approve the granting of the Share Buy-back Mandate to Directors to buy back Shares up to 10% of the total number of Shares in issue as at the date of passing the relevant resolution.
An explanatory statement containing the particulars required by the GEM Listing Rules to enable the Shareholders to make an informed view on whether to vote for or against Resolution No. 5(B) to be proposed at the 2021 AGM in relation to the granting of the Share Buy-back Mandate is set out in Appendix II to this circular.
The Directors, as at the date hereof, wish to state that they have no immediate plan to issue any new Shares pursuant to the Issue Mandate.
EXTENSION OF GENERAL MANDATES TO ISSUE SHARES
Subject to the passing of the respective ordinary resolutions to grant the Issue Mandate and Share Buy-back Mandate, an ordinary resolution authorising the extension of the Issue Mandate to include the number of Shares bought back (if any) under the Share Buy-back Mandate will also be proposed at the 2021 AGM.
2021 AGM AND PROXY ARRANGEMENT
The notice of 2021 AGM is set out on pages 14 to 18 of this circular. At the 2021 AGM, resolutions will be proposed to approve, among others, the re-election of Directors, the granting of the Issue Mandate and Share Buy-back Mandate and the extension of Issue Mandate by the additional thereto of the number of Shares bought back pursuant to the Share Buy-back Mandate.

A form of proxy for use in connection with the 2021 AGM is enclosed with this circular and such form of proxy is also published on the respective websites of the GEM (www.hkgem.com) and the Company (www.lifeconcepts.com). If you are not able to attend the 2021 AGM in person but wish to exercise your right as a Shareholder, you are requested to complete the form of proxy in accordance with the instructions printed thereon and return the completed form of proxy to the Company’s branch share registrar in Hong Kong, Boardroom Share Registrars (HK) Limited located at Room 2103B, 21/F., 148 Electric Road, North Point, Hong Kong, together with a power of attorney or other authority, if any, under which it is signed or a notarially certified copy of that power or authority, not later than 48 hours before the time appointed for holding the 2021 AGM or its adjournment (as the case may be). Completion and return of the form of proxy will not preclude any Shareholder from subsequently attending and voting in person at the 2021 AGM or its adjournment should he/she/it so wish. If the Shareholder attends and vote in person at the 2021 AGM, the form of proxy shall be deemed to be revoked.

VOTING BY POLL
Pursuant to Rule 17.47(4) of the GEM Listing Rules, any vote of shareholders at a general meeting must be taken by poll except where the chairman, in good faith, decides to allow a resolution which relates purely to a procedural or administrative matter to be voted on by a show of hands. The resolutions to be proposed at the 2021 AGM do not relate purely to a procedural or administrative matter. Accordingly, all resolutions set out in the 2021 AGM Notice will be put to vote by way of poll at the 2021 AGM. An announcement on the results of the vote by poll will be made by the Company after the 2021 AGM in the manner prescribed under Rule 17.47(5) of the GEM Listing Rules.

This circular, for which the Directors collectively and individually accept full responsibility for the contents of this circular, includes particulars given in compliance with the GEM Listing Rules for the purpose of giving information with regard to the Company. RECOMMENDATION
The Directors consider that the proposed ordinary resolutions for approval of the re-election of the Directors, the grant of general mandates to issue and buy back Shares and to add the aggregate number of Shares that may be bought back to the aggregate number of the Shares that may be allotted pursuant to the Issue Mandate are in the best interests of the Company and the Shareholders as a whole, and accordingly, recommend all Shareholders to vote in favour of the resolutions to be proposed at the 2021 AGM.

APPENDIX I
The biographical details of the Directors proposed to be re-elected at the 2021 AGM are set out as follows:
Save as disclosed herein and as at the Latest Practicable Date, each of the following retiring Directors proposed for re-election:
-
(a) did not hold any other directorship in the listed public companies in the last three years;
-
(b) does not have any interest or short position in any shares, underlying shares or debentures of the Company or any of its associated corporations required to be disclosed pursuant to Part XV of the SFO; and
-
(c) does not hold any other positions with the Company or any of its subsidiaries nor does he have any other relationship with any other Directors, senior management, substantial shareholder or controlling shareholder of the Company.
In addition, there are no other matters that need to be brought to the attention of the Shareholders nor is there other information required to be disclosed pursuant to any of the requirements under Rule 17.50(2)(h) to (v) of the GEM Listing Rules in respect of each of the following retiring Directors.
Executive Director
Mr. James Fu Bin Lu (Lu Fubin) (“Mr. James Lu”) , aged 39, was appointed as an executive Director, the chairman of the Board and chief executive officer of the Company on 12 December 2018. He is the chairman of the Nomination Committee. Mr. James Lu is also a director of various subsidiaries of the Company. Mr. James Lu is a founding partner of Joffre Capital Limited, a technology buyout fund with multi-billion dollars under management and presence across United States (the “ U.S. ”), Europe and Asia; and Longview Capital LLC, a U.S. based real estate management company. He has years of experience working in technology, media and internet industries, and previously served as a vice president at Baidu, Inc. (“ Baidu ”), founder and general manager of Amazon Marketing Services, founding team member of chegg.com. Mr. James Lu held a number of senior management positions in real estate, internet and e-commerce companies both in China and the U.S., responsible for business operation and investment. Mr. James Lu graduated from the University of Michigan with a master’s degree in electrical engineering and computer science. Mr. James Lu is a director of Strong Day Holdings Limited (“ Strong Day ”), a substantial shareholder of the Company. Mr. James Lu is the spouse of Ms. Li Qing Ni, an executive Director.
As at the Latest Practicable Date, Mr. James Lu’s spouse, Ms. Li Qing Ni an executive Director, held 29.9% of the issued shares of Strong Day, a substantial shareholder of the Company.
There is no service contract entered into between the Company and Mr. James Lu. Mr. James Lu is entitled to a remuneration package of HK$1 million per annum and a discretionary bonus as may be recommended by the Remuneration Committee. The remuneration package of Mr. James Lu will be determined by reference to, among others, the responsibilities and duties assumed by him and will be reviewed and approved by the Remuneration Committee annually at the end of each financial year

of the Company and any annual increment shall be decided in the sole discretion of the Board. Mr. James Lu is subject to retirement by rotation and re-election pursuant to the Articles of Association. The aggregate emolument of Mr. James Lu for the year ended 31 March 2021 amounted to HK$1,000,000.
INED
Mr. Lu Cheng (“Mr. Lu”) , aged 38, was appointed as an INED on 12 December 2018. He is also the chairman of the Remuneration Committee and a member of each of the Audit Committee and the Nomination Committee. Mr. Lu has over 13 years of investment management experience in the U.S., the PRC, Asia and Europe. He is currently the chief operating officer of KCA Capital Partners, an investment management firm with offices in Singapore, Beijing and Seoul which is engaged in private equity investments. KCA Capital Partners is a subsidiary of China International Capital Corporation Limited. Mr. Lu previously held management roles with HOPU Investments Management Company Limited and Citic Capital Holdings Limited, and commenced his career in investment banking with Citigroup in New York. Mr. Lu received his master’s degree in business administration from Harvard Business School, and also holds a bachelor of science degree in computer science and economics from the University of Virginia.
There is no letter of appointment entered into between the Company and Mr. Lu. Mr. Lu is not entitled to receive a fixed remuneration from the Company in respect of his appointment as an INED. Mr. Lu is subject to retirement by rotation and re-election pursuant to the Articles.

APPENDIX II EXPLANATORY STATEMENT ON THE SHARE BUY-BACK MANDATE
The following is an explanatory statement required by the GEM Listing Rules to provide the Shareholders with requisite information reasonably necessary for them to make an informed decision on whether to vote for or against the ordinary resolution to be proposed at the 2021 AGM in relation to the granting of the Share Buy-back Mandate.
1. SHARE CAPITAL
As at the Latest Practicable Date, the issued share capital of the Company comprised 810,250,000 Shares.
Subject to the passing of the ordinary resolution set out in item 5(B) of the 2021 AGM Notice in respect of the granting of the Share Buy-back Mandate and on the basis that the issued share capital of the Company remains unchanged up to the date of the 2021 AGM, i.e. being 810,250,000 Shares, the Directors would be authorised under the Share Buy-back Mandate to buy back, during the period in which the Share Buy-back Mandate remains in force, a total of 81,025,000 Shares, representing 10% of the total number of Shares in issue as at the date of the 2021 AGM.
2. REASONS FOR SHARE BUY-BACK
The Directors believe that the granting of the Share Buy-back Mandate is in the best interests of the Company and the Shareholders.
Share buy-back may, depending on the market conditions and funding arrangements at the time, lead to an enhancement of the net asset value per share and/or earnings per share and will only be made when the Directors believe that such a buy-back will benefit the Company and the Shareholders.
3. FUNDING OF SHARE BUY-BACK
The Company may only apply funds legally available for share buy-back in accordance with its memorandum and Articles, the applicable laws of the Cayman Islands and/or any other applicable laws, as the case may be.
4. IMPACT OF SHARE BUY-BACK
There might be a material adverse impact on the working capital or gearing position of the Company (as compared with the position disclosed in the audited consolidated financial statements contained in the annual report of the Company for the year ended 31 March 2021) in the event that the Share Buy-back Mandate was to be carried out in full at any time during the proposed buy-back period. However, the Directors do not intend to exercise the Share Buy-back Mandate to such extent as would, in the circumstances, have a material adverse effect on the working capital requirements of the Company or the gearing levels which in the opinion of the Directors are from time to time appropriate for the Company.

6. GENERAL
To the best of their knowledge and having made all reasonable enquiries, none of the Directors nor any of their respective close associates have any present intention to sell any Shares to the Company in the event that the granting of the Share Buy-back Mandate is approved by the Shareholders.
The Company has not been notified by any core connected persons of the Company that they have a present intention to sell any Shares to the Company, or that they have undertaken not to sell any Shares held by them to the Company in the event that the granting of the Share Buy-back Mandate is approved by the Shareholders.
The Directors have undertaken to the Stock Exchange to exercise the power of the Company to buy back Shares pursuant to the Share Buy-back Mandate in accordance with the GEM Listing Rules and the applicable laws of the Cayman Islands.

7. TAKEOVERS CODE
Upon the exercise of the power to buy-back Shares pursuant to the Share Buy-back Mandate, a Shareholder’s proportionate interests in the voting rights of the Company increases, and such increase will be treated as an acquisition of voting rights for the purposes of Rule 32 of the Takeovers Code.
Accordingly, a Shareholder or group of Shareholders acting in concert could obtain or consolidate control of the Company and, depending on the level of increase of the Shareholders’ interests, may become obliged to make a mandatory general offer in accordance with Rule 26 of the Takeovers Code.
If the Share Buy-back Mandate were exercised in full, the shareholding percentage of the substantial shareholders of the Company (based on the number of Shares they held as at the Latest Practicable Date) before and after such repurchase would be as follows:

Assuming that there is no change in the issued Shares between the Latest Practicable Date and the date of buy-back, the exercise of the Share Buy-back Mandate whether in whole or in part will result in the aggregate amount of the issued share capital of the Company in the public hands falling below the prescribed minimum percentage of 25% as required by the GEM Listing Rules. The Directors confirm that the Share Buy-back Mandate will not be exercised to the extent as may result in a public shareholding falling below the prescribed minimum percentage.

As ordinary business:

To consider and adopt the audited consolidated financial statements of the Company and its subsidiaries together with the reports of the directors (the “ Directors ”) and the independent auditor (the “ Independent Auditor ”) of the Company for the year ended 31 March 2021.

shall not exceed 20% of the aggregate number of the Shares in issue at the date of the passing of this Resolution and the said approval shall be limited accordingly;

(d) subject to the passing of each of the paragraphs (a), (b) and (c) of this Resolution, any prior approvals of the kind referred to in paragraphs (a), (b) and (c) of this Resolution which had been granted to the Directors and which are still in effect be and are hereby revoked; and

(e) for the purpose of this Resolution:
“ Relevant Period ” means the period from the passing of this Resolution until whichever is the earlier of:

(i) the conclusion of the next annual general meeting of the Company;

(ii) the expiration of the period within which the next annual general meeting of the Company is required by the articles of association of the Company or any applicable laws to be held; and

(a) subject to paragraph (b) of this Resolution, the exercise by the directors of the Company (the “ Directors ”) during the Relevant Period (as hereinafter defined) of all the powers of the Company to buy back Shares on The Stock Exchange of Hong Kong Limited (the “ Stock Exchange ”) or on any other stock exchange on which the shares of the Company (the “ Shares ”) may be listed and recognised for this purpose by the Securities and Futures Commission of Hong Kong and the Stock Exchange under the Hong Kong Code on Share Buy-backs, subject to and in accordance with all applicable laws and regulations, be and is hereby generally and unconditionally approved;

NOTICE OF ANNUAL GENERAL MEETING

Any member of the Company (the “ Member ” or “ Shareholder ”) entitled to attend and vote at the AGM or its adjournment (as the case may be) is entitled to appoint one (or, if he/she/it holds two or more Shares, more than one) proxy to attend and, on a poll, vote on his/her/its behalf subject to the provision of the articles of association of the Company. A proxy need not be a Member but must be present in person at the AGM to represent the Member. If more than one proxy is so appointed, the appointment shall specify the number of Shares in respect of which such proxy is so appointed.

In order to be valid, the duly completed and signed form of proxy must be deposited together with a power of attorney or other authority, if any, under which it is signed or a certified copy of that power or authority, at the Company’s branch share registrar, Boardroom Share Registrars (HK) Limited at Room 2103B, 21/F, 148 Electric Road, North Point, Hong Kong, as soon as possible and in any event, not later than 48 hours before the time appointed for holding the AGM or its adjournment (as the case may be). Completion and return of a form of proxy will not preclude a Member from attending and voting in person at the AGM or its adjournment should he/she so wish. In such event, the form of proxy shall be deemed to be revoked.
In view of the ongoing Novel Coronavirus (COVID-19) epidemic, the Company strongly recommends Shareholders to exercise their voting rights by appointing the chairman of the AGM as their proxy to vote on the relevant resolutions at the AGM as an alternative to attending the AGM in person.

Where there are joint registered holders of any Share, any one of such joint holders may vote at the AGM, either in person or by proxy, in respect of such Share as if he/she were solely entitled thereto, but if more than one of such joint holders is present at the AGM, the vote of the senior who tenders a vote, whether in person or by proxy, will be accepted to the exclusion of the votes of the other joint holders, and for this purpose, seniority shall be determined as that one of the said persons so present whose name stands first on the register in respect of such Share shall alone be entitled to vote in respect thereof.

For determining the entitlement to attend and vote at the AGM, the register of Members will be closed from Monday, 20 September 2021 to Friday, 24 September 2021 (both days inclusive), during which period no transfer of Shares will be registered.
