F1: Each stock fund unit represents the economic equivalent of one Class A or Class C ordinary share, as the case may be. The stock fund units confer no voting or other rights of stock ownership. The stock fund units will become payable, in Class A or Class C ordinary shares, as the case may be, in accordance with the Liberty Global, Inc. Nonemployee Director Deferred Compensation Plan.

F2: The stock fund units represent the deferral of the equity portion of the quarterly retainer paid to the Reporting Person for his services as a director of the Issuer's predecessor, Liberty Global, Inc.

F3: The option is immediately exercisable.

F4: The option vests in three annual installments commencing on June 19, 2012, with the remaining installment to vest on the date of the Issuer's 2014 annual meeting of shareholders.
