POSTAL BALLOT NOTICE PURSUANT TO SECTION 110 OF THE COMPANIES ACT, 2013
Dear Members,
Notice is hereby given that the resolutions set out below are proposed for approval by the members of Reliance Industries Limited (“the Company”) by means of Postal Ballot, only by remote e-voting process (“e-voting”) being provided by the Company to all its members to cast their votes electronically, pursuant to Section 110 of the Companies Act, 2013 (“the Act”), Rule 22 of the Companies (Management and Administration) Rules, 2014 (“the Rules”) and other applicable provisions of the Act and the Rules, General Circular Nos. 14/2020 dated April 8, 2020 and 17/2020 dated April 13, 2020 read with other relevant circulars, including General Circular No. 09/2023 dated September 25, 2023, issued by the Ministry of Corporate Affairs (“MCA Circulars”), Regulation 44 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 (“Listing Regulations”), Secretarial Standard on General Meetings (“SS-2”) issued by the Institute of Company Secretaries of India and other applicable laws, rules and regulations (including any statutory modification(s) or re-enactment(s) thereof for the time being in force).
The explanatory statement pertaining to the aforesaid resolution setting out the material facts concerning item and the reasons thereof are annexed hereto with a Postal Ballot Form for your consideration. The Board of Directors of the Company has appointed M/s SARK & Associates LLP, Company Secretaries, as the Scrutinizer for conducting the voting process through Postal Ballot / E- Voting in accordance with the law and in a fair and transparent manner.
Pursuant to Section 108 of the Act read with Rule 20 of the Rules and Regulation 44 of the Listing Regulations, the Company has engaged Bigshare Services Private Limited ("Bigshare") to provide e- voting facility for its Members. The E-Voting facility is available at the link https://ivote.bigshareonline.com from 09:00 AM on Wednesday, December 4, 2024 up to 05:00 PM on Thursday, January 2, 2025. E- Voting module will be blocked by Bigshare at 05:00 PM on Thursday, January 2, 2025 and voting shall not be allowed beyond the said date and time. The Scrutinizer will submit his Report, in writing, upon completion of scrutiny of E-Voting data provided by Bigshare, in a fair and transparent manner. The result on the resolution proposed to be passed through Postal Ballot/E-Voting shall be announced on or before Saturday, January 4, 2025 and shall be communicated to NSE where the equity shares of the Company is listed. The results of the Postal Ballot/E-Voting will also be displayed on the Company's website at www. www.riyazgangjilibasconsumerproductltd.com.
The last date of the E- Voting shall be the date on which the Resolution shall be deemed to have been passed, if approved by the requisite majority.

Appointment of Ms. Bhumisha Dadwani (DIN: 10555283) as an Independent Director of the Company
To consider and pass the following resolution as a Special Resolution :
“RESOLVED THAT pursuant to the provisions of Sections 149, 150, 152 and any other applicable provisions, if any, of the Companies Act, 2013 (“the Act”) and the Rules made thereunder (including any statutory modification(s) or re-enactment thereof for the time being in force) read with Schedule IV of the Act and the applicable provisions of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, Ms. Bhumisha Dadwani (DIN: 10555283) who was appointed as an Additional Independent Director of the Company and in respect of whom the Company has received a notice in writing under Section 160 of the Act from a member proposing her candidature for the office of Director, be and is hereby appointed as an Independent Director of the Company to hold office for the first term of 5 years w.e.f. October 25, 2024 to October 22, 2029, subject to review of annual performance and whose term of office shall not be liable to retirement by rotation.”
RESOLVED FURTHER THAT for the purpose of giving effect to the above, Directors of the Company, be and are hereby severally authorised to take such steps as may be necessary for obtaining approvals, statutory or otherwise, in relation to the above and to all matters arising out of and incidental thereto and to sign and to execute deeds, applications, documents and file returns with Registrar of Companies, that may be required, on behalf of the Company and generally to do all such acts, deeds, matters and things as may be necessary, proper, expedient or incidental for giving effect to this resolution.”

The voting rights for Equity Shares are one vote per Equity Share, registered in the name of the members. Voting rights shall be reckoned on the paid-up value of Equity Shares registered in the name of the shareholders as on Friday, November 29, 2024. A person who is not a shareholder on the said cut-off date should treat this notice for information purpose only.

In compliance with the provisions of Sections 108 and 110 of the Act and the rules made there under, the MCA Circulars and Regulation 44 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, the Company has provided the facility to the shareholders to exercise their votes electronically, through the e-voting service facility arranged by Bigshares, and the business may be transacted through such voting. The instructions for e-voting are provided as part of this Postal Ballot Notice.

Shareholders desiring to exercise their vote through the e-voting process are requested to read the instructions in the Notes under the section “General information and instruction relating to e-voting” in this Postal Ballot Notice. Shareholders are requested to cast their vote through the e-voting process not later than 5:00 P.M. on Thursday, January 2, 2025, failing the said it will be strictly considered that no vote has been received from that particular shareholder.

The Scrutinizer will submit his report to the Chairman of the Company after completion of scrutiny of the voting process. The results shall be announced by the Chairman or in his absence by any Director of the Company on Saturday, January 4, 2025 at the Registered Office of the Company and be communicated to National Stock Exchange of India Limited (“NSE”) and Bigshare.

The resolutions, if passed by the requisite majority shall be deemed to have been passed on Thursday, January 2, 2025 through the e-voting process.

The password to open the .pdf file is your 8 digit client ID for NSDL account, last 8 digits of client ID for CDSL account or folio number for shares held in physical form. The .pdf file contains your ‘User ID’ and your ‘initial password’.

Explanatory Statement pursuant to Section 102 of the Companies Act, 2013

Based on the recommendation of the Nomination and Remuneration Committee, the Board of Directors has appointed Ms. Bhumisha Dadwani (DIN: 10555283) as an Additional Independent Directors of the Company with effect from October 25, 2024.
In accordance with the provisions of Section 149 of the Companies Act, 2013 (“the Act”) read with Schedule IV of the Act appointment of Independent Director requires approval of the shareholders. Further, in terms of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 (“the Listing Regulations”), a listed entity shall ensure that approval of shareholders for appointment of a person on the Board of Directors is taken at the next general meeting or within a time period of three months from the date of appointment, whichever is earlier. Accordingly, Ms. Bhumisha Dadwani would require approval of shareholders of the Company.
The Company has received a Notice under Section 160 of the Act from a shareholder in writing proposing the candidature of Ms. Bhumisha Dadwani for appointment as an Independent Director of the Company. Ms. Bhumisha Dadwani has given a declaration to the Board that she meets the criteria of Independence as provided under Section 149 (6) of the Act and Regulation 16(1) (b) of the Listing Regulations.
In the opinion of the Board, Ms. Bhumisha Dadwani fulfil the conditions specified in the Act and Rules made thereunder and the Listing Regulations for appointment as an Independent Directors and she is independent of management. The Board recommends her appointment as an Independent Directors for five (5) consecutive years effective from October 25, 2024 not liable to retire by rotation.
A brief profile of Ms. Bhumisha Dadwani, the nature of her expertise in specific functional areas, disclosure of relationships between directors, inter-se, names of companies in which she holds Directorship, Committee Memberships/ Chairmanships, shareholding etc., are provided herein.

Ms. Bhumisha Dadwani is qualified Company Secretary and has Bachelor of Commerce in the year 2017 and 2015 respectively. She has wide range of experience in handling various compliance, drafting and legal matter.
She is associated as Company Secretary with Net Avenue Technologies Limited from September, 2023.
Prior to her association with Net Avenue Technologies Limited, she has worked with Panth Infinity Limited from September, 2022 to August, 2023 as Company Secretary.
Prior to her association with Panth Infinity Limited, she has worked with Su-Raj Diamond Dealers Private Limited from July, 2018 to April 2022 as Company Secretary.
