Item 1.01. Entry into a Material Definitive Agreement.

On May 5, 2014, JPMorgan Chase Bank, N.A. ("Chase") consented to the request of M-tron Industries, Inc. ("Mtron") and Piezo Technology Inc. ("Piezo", and together with Mtron, "MtronPTI"), each a wholly owned subsidiary of The LGL Group, Inc., for an extension of the maturity date of the revolving credit facility under MtronPTI's loan agreement with Chase from June 30, 2014 to September 30, 2014.
