POLO STRATEGICO NAZIONALE, SOTTOSCRITTA LA CONVENZIONE PER L'UTILIZZO DELL'INFRASTRUTTURA CLOUD DELLA PA

EMANUELE IANNETTI DESIGNATO AMMINISTRATORE DELEGATO

Roma, 26 agosto 2022 – La società di progetto di nuova costituzione partecipata da TIM, Leonardo, Cassa Depositi e Prestiti (CDP, attraverso la controllata CDP Equity) e Sogei, ha sottoscritto il 24 agosto con il Dipartimento per la trasformazione digitale della Presidenza del Consiglio dei Ministri la Convenzione per l'affidamento in concessione della progettazione, realizzazione e gestione dell'infrastruttura Polo Strategico Nazionale (PSN) per l'erogazione di servizi cloud per la Pubblica Amministrazione.

I soci TIM, Leonardo, CDP Equity e Sogei hanno, inoltre, designato Emanuele Iannetti amministratore delegato della società di recente costituzione che realizzerà il progetto.

La stipula della Convenzione è avvenuta ad esito della gara europeaindetta da Difesa Servizi S.p.A., in qualità di Centrale di Committenza del Dipartimento per la trasformazione digitale della Presidenza del Consiglio dei Ministri, sulla base della proposta di finanza di progetto a iniziativa privata presentata dalla stessa compagine nei mesi scorsi e dichiarata fattibile, lo scorso 27 dicembre, dalla Presidenza del Consiglio dei Ministri - Dipartimento per la trasformazione digitale (decreto n. 47/2021-PNRR), essendo stata valutata pienamente rispondente, tra l'altro, alle esigenze espresse nella Strategia Cloud Italia. Lo scorso 11 luglio la gara è stata aggiudicata alla compagine, a valle dell'esercizio del diritto di prelazione nel rispetto della normativa e della documentazione d i gara.

La concessione avrà una durata di 13 anni e i servizi saranno erogati a ciascuna amministrazione aderente per 10 anni dalla data di perfezionamento della migrazione dei dati.

L'iniziativa si inserisce nel piano complessivo di accelerazione della trasformazione digitale del Paese, a garanzia della sicurezza e dell'affidabilità dei dati e per fornire servizi innovativi a cittadini e imprese, come previsto dal PNRR (Piano Nazionale di Ripresa e Resilienza) e dagli interventi normativi in materia di infrastrutture digitali.

Il neo designato amministratore delegato della società di progetto, Emanuele Iannetti, 55 anni, proviene da Ericsson Telecomunicazioni, dove da maggio 2019 ha ricoperto l'incarico di Responsabile Area Sud Est Mediterraneo. Il manager ha iniziato la carriera nel 1989 in Telecom

Italia e ha avuto successivamente ruoli di crescente responsabilità in H3G, Nokia Siemens Networks, Siemens e Atos prima di approdare in Ericsson nel 2013.

Con riguardo alla disciplina in materia di Operazioni con Parti Correlate, si rammenta (cfr.precedenti comunicati stampa, da ultimo in data 7 luglio 2022) che per Leonardo la costituzione della società di progetto, in virtù del rapporto di correlazione con CDP Equity e Sogei (in quanto società, al pari di Leonardo, partecipate dal MEF), costituisce un'Operazione con Parti Correlate di "minore rilevanza".

L'Operazione ha beneficiato dell'esenzione dall'applicazione della Procedura adottata dal Consiglio di Amministrazione della Società, prevista dal relativo art. 11.2, lett. c) nonché dall'art. 13, comma 3, lett. c) del Regolamento Consob n. 17221/2010 (e s.m.i.) per le operazioni ordinarie da concludersi a condizioni equivalenti a quelle di mercato o standard.

Quanto sopra tenuto conto della complessiva valutazione di coerenza con le condizioni di mercato e congruità dei contenuti economici della proposta da parte dell'Amministrazione concedente, attraverso – come riferito - procedura di gara ad evidenza pubblica e confronto concorrenziale.

NATIONAL STRATEGIC HUB, THE AGREEMENT FOR USE OF THE PA'S CLOUD INFRASTRUCTURE HAS BEEN ENTERED INTO

EMANUELE IANNETTI APPOINTED AS CHIEF EXECUTIVE OFFICER

Rome, 26 August 2022 – The newly incorporated project company participated by TIM, Leonardo, Cassa Depositi e Prestiti (CDP, through the subsidiary CDP Equity) and Sogei, on 24 August entered into - with the Department for Digital Transformation of the Presidency of the Council of Ministers an Agreement for the granting of the concession for the design, construction and management of the Polo Strategico Nazionale (National Strategic Hub - PSN) infrastructure for the provision of cloud services for the Public Administration.

The partners TIM, Leonardo, CDP Equity and Sogei also appointed Emanuele Iannetti as Chief Executive Officer of the recently incorporated company, who will be in charge of the project execution.

The signing of the Agreement took place following the outcome of the European tender launched by Difesa Servizi S.p.A., as Central Commissioning of the Department for Digital Transformation of the Presidency of the Council of Ministers, on the basis of the private initiative project finance proposal submitted by the same team in recent months and selected, on 27 December, by the Presidency of the Council of Ministers - Department for Digital Transformation (decree No. 47/2021-PNRR), having been assessed as fully meeting, among other things, the requirements laid down in Italy's Cloud Strategy. On 11 July the tender was awarded to the team, following the exercise of the right of first refusal in compliance with the regulations and the tender documentation.

The concession will have a duration of 13 years and the services will be provided to each member administration for 10 years from the date of completion of the data migration.

The initiative is part of the overall plan to accelerate Italy's digital transformation, with the aim of ensuring data security and reliability and providing innovative services to citizens and businesses as required by the PNRR (National Recovery and Resilience Plan) and by regulatory changes in digital infrastructure.

The newly appointed Chief Executive Officer of the project company, Emanuele Iannetti, 55, comes from Ericsson Telecomunicazioni, where he has held the position of South East Mediterranean Area Manager since May 2019. The manager began his career at Telecom Italia in 1989, and

subsequently held roles of increasing responsibility at H3G, Nokia Siemens Networks, Siemens and Atos before joining Ericsson in 2013.

With regard to the regulations on Related Party Transactions, please note (see previous press releases, lastly on 7 July 2022) that for Leonardo the establishment of the New Co, taking into account the correlation relationship w ith Cdp Equity and Sogei (both companies, as w ell as Leonardo, ow ned by the Ministry of Economy and Finance) is a related party transaction of "lesser importance". The transaction benefited of the exemption from the application of the Procedure approved by the Company's Board of Directors, provided for the transactions to be concluded under market-equivalent or standard terms, pursuant to article 11.2, letter c) of the above mentioned Procedure and in accordance w ith article 13, subsection 3, letter c) of Consob Regulations no. 17221/2010 (as amended and supplemented).

The above taking into account the overall assessment of consistency w ith market conditions and fairness of the proposal's economic contents by the granting Administration, through – as reported - a public tender procedure and competitive comparison.
