Mit Aktienkaufvertrag vom 18. Februar 2025 hat die B&C Alpha Zweite Holding GmbH & Co KG in Liquidation die von ihr bislang gehaltenen 10,00% der Anteile an der Lenzing Aktiengesellschaft an die B&C Privatstiftung verkauft und übertragen. Die B&C Alpha Zweite Holding GmbH & Co KG in Liquidation hält daher keine Anteile an der Lenzing Aktiengesellschaft mehr.

Die B&C Privatstiftung ist dem zwischen B&C Holding Österreich GmbH, B&C KB Holding GmbH, B&C Ares Holding GmbH, Suzano S.A. und Suzano International Trade GmbH bestehenden Syndikat beigetreten.

Die Suzano International Trade GmbH steht zu 100 % im Eigentum der Suzano S.A., einer an der B3 Stock Exchange in Sao Paulo, Brasilien, gelisteten Aktiengesellschaft.

Die Suzano Holding S.A. hält 29,1 % und David Feffer, Daniel Feffer, Ruben Feffer und Jorge Feffer halten zusammen 15,5 % an der Suzano S.A.. Die Suzano Holding S.A. und die vorgenannten Personen haben vereinbart, die mit diesen Aktien verbundenen Stimmrechte einheitlich auszuüben, wobei die Suzano Holding S.A. über die Mehrheit der Stimmen verfügt, darüber zu entscheiden. Dementsprechend übt die Suzano Holding S.A. einen beherrschenden Einfluss auf die Suzano S.A. aus.

Die Gesellschafter der Suzano Holding S.A., Daniel Feffer, David Feffer, Ruben Feffer, Izabela Henriques Feffer und Mikhael Henriques Feffer (die gemeinsam 71,9 % der Anteile halten) haben einen Syndikatsvertrag abgeschlossen, der sie zur einheitlichen Stimmrechtsausübung in wesentlichen Beschlussgegenständen in Hauptversammlungen der Suzano Holding S.A. verpflichtet.

Die gegenständliche Meldung erfolgt sowohl hinsichtlich des Syndikats als auch für die einzelnen Mitglieder des Syndikats und ihre Eigentümer.
