(b) Retirement of Senior Vice President of Operations

On December 18, 2012, A. Thomas Lucas, Senior Vice President of Operations, informed Insignia Systems, Inc. (the “Company”) that he will retire on January 17, 2013, after 20 years of service. Mr. Lucas’ duties will be assumed by other members of the Company’s management.
