CLEANSING NOTICE - s708A(5)(e) of the Corporations Act 2001

Legend Mining Limited (ASX: LEG) ( “Legend” or the “Company” ) is pleased to confirm that on 11 July 2019 it has issued 204,435,080 fully paid ordinary shares ( Shares ) at $0.036 per Share and 102,217,540 free attaching unlisted options exercisable at $0.072 per option ( Options ) and expiring on 11 July 2022 pursuant to Tranche One of a placement to Independence Group NL ( Tranche 1 Securities ), made up of 204,435,080 Shares and 102,217,540 Options from the Company’s Listing Rule 7.1 capacity (refer to the Company's ASX announcement of 9 July 2019 for further details).

In accordance with s708A(5)(e) of the Corporations Act 2001 ( Act ) the Company provides notice to ASX that:

• (a) the Company issued the Tranche 1 Shares without disclosures to investors under Part 6D.2 of the Act;

• (b) as at the date of this notice, the Company has complied with the provisions of Chapter 2M of the Act, as they apply to the Company and section 674 of the Act; and

• (c) as at the date of this notice, there is no information:

  • (i) that has been excluded from a continuous disclosure notice in accordance with the ASX Listing Rules; and

  • (ii) that investors and their professional advisors would reasonably require for the purpose of making an informed assessment of: (A) the assets and liabilities, financial position and performance, profits and losses and prospects of the Company; or

    • (B) the rights and liabilities attaching to the Tranche 1 Shares.
