Exercise of Options and Total Voting Rights

Learning Technologies Group plc ("LTG"), the leading e-learning company, announces that pursuant to the exercise of options under the LTG Sharesave scheme by an employee, an application has been made to the London Stock Exchange for the admission of 64,615 new ordinary shares to trading on AIM.  Admission of the new shares is expected to take place at 8.00am on 19 December 2016.

Following the anticipated admission of these shares, the total number of ordinary shares of 0.375p each in the capital of the Company in issue will be 421,411,980 with each share carrying the right to one vote.

LTG holds 404,340 shares in treasury.  The figure of 421,007,640 may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the Disclosure and Transparency Rules.
