Directors' Dealings and Grants of Share Options

Learning Technologies Group plc (AIM:LTG) announces that on 26 January 2015 Jonathan Satchell (Chief Executive) sold 3,000,000 Ordinary Shares of GBP0.00375 each in the Company at a price of 18.50 pence per share.

On the same day Leslie-Ann Reed (Non-executive Director) acquired 750,000 shares and Neil Elton (Group Finance Director) acquired 160,000 shares in the Company at a price of 18.50 pence per share.

Further, the Company granted to Neil Elton 1,000,000 new EMI share options over the Company's Ordinary Shares of GBP0.00375 each at an exercise price of 19.00 pence per share.

The vesting of the new share options are subject to the achievement of demanding performance criteria.

Following the above transactions the beneficial interests of all Directors in the share capital of the Company are as follows:
