DEREGISTRATION OF SECURITIES
On October 5, 1994, Lear Corporation, a Delaware corporation (the Company) registered, pursuant to a Registration Statement on Form S-8 (Registration Number 33-55783) (the Registration Statement), 4,619,815 shares of the Companys common stock, par value $.01 per share (Common Stock), to be issued pursuant to awards granted under the Lear Seating Corporation 1988 Stock Option Plan, the Lear Seating Corporation 1992 Stock Option Plan and the Lear Seating Corporation 1994 Stock Option Plan (the Plans).
On November 9, 2009 (the Effective Date), the Company consummated the transactions contemplated by its First Amended Joint Plan of Reorganization pursuant to Chapter 11 of the United States Bankruptcy Code (the Plan of Reorganization). In accordance with the Plan of Reorganization, the shares of Common Stock existing immediately prior to the Effective Date (including the shares registered on the Registration Statement) have been canceled and are no longer outstanding. As a result of the consummation of the transactions contemplated by the Plan of Reorganization, the Company has terminated all offerings of the Companys Common Stock pursuant to the Registration Statement. Accordingly, pursuant to the undertaking contained in the Registration Statement to remove from registration by means of a post-effective amendment any of the securities being registered which remain unsold at the termination of the offering, the Company is filing this Post-Effective Amendment No. 1 to the Registration Statement to deregister all the shares of the Companys Common Stock registered under the Registration Statement and reserved for issuance under the Plans, which remain unsold as of the Effective Date.
