Information letter to shareholders regarding distribution of consideration shares in Lea Bank AB

Det vises til fusjonsplan datert 21.08.24, godkjent av ekstraordinær

generalforsamling 26.09.24, hvor Lea Bank AB vil overta alle eiendeler og

forpliktelser i Lea bank ASA, og aksjonærer vil motta vederlagsaksjer i Lea Bank

AB.

Ettersom Lea Bank AB blir et svensk allmennaksjeselskap notert på Nasdaq

Stockholm, vil vederlagsaksjene ved utstedelse bli registrert hos Euroclear

Sweden AB, det svenske sentrale verdipapirregisteret ("VPC"). Aksjene i Lea bank

ASA er registrert i Verdipapirsentralen i Norge ("VPS"). Ettersom

vederlagsaksjene vil bli utstedt gjennom VPC, vil selskapet ikke kunne

distribuere vederlagsaksjer til sine aksjonærer gjennom VPS-systemet.

For å motta vederlagsaksjer må aksjonæren ha tilgang til en svensk depotkonto

(konto for internasjonal handel) der vederlagsaksjene kan plasseres, og

nødvendig kontoinformasjon må sendes til Lea bank. I det vedlagte aksjonærbrevet

finner aksjonærene mer informasjon og skjema som må fylles ut for å motta

vederlagsaksjer. Aksjonærbrevet og skjemaet blir sendt til norske aksjonærer per

post. Utenlandske aksjonærer vil bli kontaktet direkte.

Reference is made to the merger plan dated 21.08.24, approved by the

extraordinary general meeting on 26.09.24, under which Lea Bank AB will assume

all assets and liabilities of Lea bank ASA, and shareholders will receive

consideration shares in Lea Bank AB.

Since Lea Bank AB will become a Swedish public limited company listed on Nasdaq

Stockholm, the consideration shares will, upon issuance, be registered with

Euroclear Sweden AB, the Swedish Central Securities Depository ("VPC"). The

shares in Lea bank ASA are registered in the Norwegian Central Securities

Depository ("VPS"). As the consideration shares will be issued through VPC, the

company will not be able to distribute consideration shares to its shareholders

via the VPS system.

To receive consideration shares, shareholders must have access to a Swedish

deposit account (international trading account) where the consideration shares

can be placed, and the required account information must be provided to Lea

Bank. In the attached shareholder letter, shareholders will find more

information and a form that must be completed to receive consideration shares.

The shareholder letter and form have also been sent by post to Norwegian

shareholders. Non-Norwegian shareholders will be contacted directly.
