PROPOSED GRANTING OF GENERAL MANDATES TO REPURCHASE SHARES AND TO ISSUE NEW SHARES AND PROPOSED RE-ELECTION OF THE RETIRING DIRECTORS AND NOTICE OF ANNUAL GENERAL MEETING
A notice convening an Annual General Meeting of Four Seas Mercantile Holdings Limited to be held at Garden Room, 2nd Floor, Hotel Nikko Hongkong, 72 Mody Road, Tsimshatsui East, Kowloon, Hong Kong on Friday, 23 August 2013 at 12:00 noon is set out on pages 13 to 16 of this circular. A form of proxy for use at the Annual General Meeting is also enclosed with this circular. Such form of proxy is also published on the websites of Hong Kong Exchanges and Clearing Limited (www.hkexnews.hk) and the Company (www.fourseasgroup.com.hk).
Whether or not you are able to attend the Annual General Meeting, you should complete the form of proxy in accordance with the instructions printed thereon and return it to the Company’s branch share registrar in Hong Kong, Tricor Tengis Limited at 26th Floor, Tesbury Centre, 28 Queen’s Road East, Wanchai, Hong Kong as soon as possible and in any event not less than 48 hours before the time appointed for the holding of the Annual General Meeting or any adjournment thereof.
Completion and return of the form of proxy will not preclude Shareholders from attending and voting in person at the Annual General Meeting or any adjourned meeting thereof if they so wish.

DEFINITIONS
In this circular, unless the context otherwise requires, the following expressions shall have the following meanings:

PROPOSED GRANTING OF GENERAL MANDATES TO REPURCHASE SHARES AND TO ISSUE NEW SHARES AND PROPOSED RE-ELECTION OF THE RETIRING DIRECTORS AND NOTICE OF ANNUAL GENERAL MEETING
1. INTRODUCTION
The purpose of this circular is to provide the Shareholders with information in respect of certain resolutions to be proposed at the Annual General Meeting for (i) the granting of the Buyback Mandate to the Directors; (ii) the granting of the Issuance Mandate to the Directors; (iii) the extension of the Issuance Mandate by adding to it the aggregate nominal amount of Shares repurchased by the Company pursuant to the Buyback Mandate; and (iv) the proposed re-election of the retiring Directors.

2. PROPOSED GRANTING OF GENERAL MANDATES TO REPURCHASE SHARES AND TO ISSUE NEW SHARES
At the annual general meeting of the Company held on 28 August 2012, general mandates were granted to the Directors to repurchase and issue Shares respectively. Such mandates will lapse at the conclusion of the Annual General Meeting. In order to give the Company the flexibility to repurchase and issue Shares if and when appropriate, the following ordinary resolutions will be proposed at the Annual General Meeting to approve:

(i) the granting of the Buyback Mandate to the Directors to purchase Shares on the Stock Exchange of not exceeding 10% of the aggregate nominal amount of the issued share capital of the Company as at the date of passing of proposed ordinary resolution contained in item 8 of the notice of the Annual General Meeting as set out on pages 13 to 16 of this circular (i.e. an aggregate nominal amount of Shares up to HK$3,879,096.40 (equivalent to 38,790,964 Shares) on the basis that the issued share capital of the Company remains unchanged on the date of the Annual General Meeting);

(ii) the granting of the Issuance Mandate to the Directors to allot, issue or deal with additional Shares of not exceeding 20% of the aggregate nominal amount of the issued share capital of the Company as at the date of passing of proposed ordinary resolution contained in item 9 of the notice of the Annual General Meeting as set out on pages 13 to 16 of this circular (i.e. an aggregate nominal amount of Shares up to HK$7,758,192.80 (equivalent to 77,581,928 Shares) on the basis that the issued share capital of the Company remains unchanged on the date of the Annual General Meeting); and
-
(iii) the extension of the Issuance Mandate by adding the aggregate nominal amount of Shares repurchased by the Company pursuant to the Buyback Mandate.
With reference to the Buyback Mandate and the Issuance Mandate, the Directors wish to state that they have no immediate plan to repurchase any Shares or issue any new Shares pursuant thereto.
An explanatory statement required by the Listing Rules to provide the Shareholders with requisite information reasonably necessary for them to make an informed decision on whether to vote for or against the granting of the Buyback Mandate is set out in Appendix I to this circular.
3. PROPOSED RE-ELECTION OF THE RETIRING DIRECTORS
Pursuant to article 119 of the Articles of Association of the Company, unless and until the Company in a general meeting shall otherwise determine, at each annual general meeting one-third of the Directors for the time being, or, if their number is not three or a multiple of three, then the number nearest to but not less than one-third shall retire from office by rotation, provided that every Director (including those appointed for a specific term or holding office as Chairman or Managing Director) shall be subject to retirement by rotation at least once every three years or within such other period as the Stock Exchange may from time to time prescribe or within such other period as the laws of such jurisdiction applicable to the Company. The Directors to retire in every year shall be those who have been longest in office since

their last election but as between persons who became Directors on the same day those to retire shall (unless they otherwise agree between themselves) be determined by lot. The retiring Directors shall be eligible for re-election.
In accordance with article 119 of the Company’s Articles of Association, Ms. Wu Mei Yung, Quinly, Mr. Nam Chi Ming, Gibson and Ms. Leung Mei Han shall retire at the Annual General Meeting. All of the above retiring Directors, being eligible, will offer themselves for re-election at the Annual General Meeting.
Ms. Leung Mei Han who has been serving as Independent Non-executive Director of the Company for more than 9 years, has confirmed her independence, which has been reviewed and assessed by the nomination committee of the Company, with reference to the factors set out in Rule 3.13 of the Listing Rules. During her years of appointment, Ms. Leung has demonstrated her ability to provide an independent view to the Company’s matters. The Company considers Ms. Leung Mei Han is still independent in accordance with the independence guidelines as set out in the Listing Rules and will continue to bring valuable business experience, knowledge and professionalism to the Board for its efficient and effective functioning.
Details of the above 3 retiring Directors are set out in Appendix II to this circular.
4. ANNUAL GENERAL MEETING AND PROXY ARRANGEMENT
The notice of the Annual General Meeting is set out on pages 13 to 16 of this circular.
Pursuant to the Listing Rules, any vote of Shareholders at a general meeting must be taken by poll except where the chairman, in good faith, decides to allow a resolution which relates purely to a procedural or administrative matter to be voted on by show of hands. An announcement on the poll vote results will be published by the Company after the Annual General Meeting in the manner prescribed under Rule 13.39(5) of the Listing Rules.
A form of proxy for use at the Annual General Meeting is enclosed with this circular and such form of proxy is also published on the websites of Hong Kong Exchanges and Clearing Limited (www.hkexnews.hk) and the Company (www.fourseasgroup.com.hk). To be valid, the form of proxy must be completed and signed in accordance with the instructions printed thereon and deposited, together with the power of attorney or other authority (if any) under which it is signed or a notarially certified copy of that power of attorney or authority at the Company’s branch share registrar in Hong Kong, Tricor Tengis Limited, at 26th Floor, Tesbury Centre, 28 Queen’s Road East, Wanchai, Hong Kong as soon as possible but in any event not less than 48 hours before the time appointed for holding the Annual General Meeting or any adjournment thereof. Completion and delivery of the form of proxy will not preclude you from attending and voting at the Annual General Meeting if you so wish.

5. RECOMMENDATION
The Directors consider that the proposed granting of the Buyback Mandate, the granting of the Issuance Mandate, the extension of the Issuance Mandate and the proposed re-election of the retiring Directors are all in the best interests of the Company and its Shareholders. Accordingly, the Directors recommend the Shareholders to vote in favour of the relevant resolutions to be proposed at the Annual General Meeting.

APPENDIX I EXPLANATORY STATEMENT ON THE BUYBACK MANDATE
The following is an explanatory statement required by the Listing Rules to provide the Shareholders with requisite information reasonably necessary for them to make an informed decision on whether to vote for or against the ordinary resolution to be proposed at the Annual General Meeting in relation to the granting of the Buyback Mandate.
1. REASONS FOR BUYBACK OF SHARES
The Directors believe that the proposed granting of the Buyback Mandate is in the best interests of the Company and its Shareholders.
Repurchases of Shares may, depending on the market conditions and funding arrangements at the time, lead to an enhancement of the net asset value per Share and/or earnings per Share and will only be made when the Directors believe that such a repurchase will benefit the Company and the Shareholders.
2. SHARE CAPITAL
As at the Latest Practicable Date, the issued share capital of the Company comprised 387,909,640 Shares of HK$0.10 each.
Subject to the passing of the ordinary resolution set out in item 8 of the notice of the Annual General Meeting in respect of the granting of the Buyback Mandate and on the basis that no further Shares are issued or repurchased by the Company prior to the Annual General Meeting, the Directors would be authorized under the Buyback Mandate to repurchase, during the period in which the Buyback Mandate remains in force, an aggregate nominal amount of Shares up to HK$3,879,096.40 (equivalent to 38,790,964 Shares), representing 10% of the aggregate amount of Shares in issue as at the date of the Annual General Meeting, on the basis that the issued share capital of the Company remains unchanged on the date of the Annual General Meeting.
3. FUNDING OF REPURCHASES
In repurchasing Shares, the Company may only apply funds legally available for such purpose in accordance with its Memorandum and Articles of Association, the laws of the Cayman Islands and other applicable laws, as the case may be.
Shares shall not be repurchased for a consideration other than cash or for settlement otherwise than in accordance with the trading rules of the Stock Exchange from time to time. The Directors propose that repurchases of Shares under the Buyback Mandate in these circumstances would be financed from the Company’s internal resources or existing banking facilities.
4. IMPACT OF REPURCHASES
There might be a material adverse impact on the working capital or gearing position of the Company (as compared with the position disclosed in the audited accounts contained in the annual report of the Company for the year ended 31 March 2013) in the event that the Buyback Mandate was to be carried out in full at any time during the proposed repurchase period. However, the Directors do not intend to exercise the Buyback Mandate to such extent as would, in the circumstances, have a material adverse effect on the working capital requirements of the Company or the gearing levels which in the opinion of the Directors are from time to time appropriate for the Company.

6. TAKEOVERS CODE
If as a result of a repurchase of Shares pursuant to the Buyback Mandate, a Shareholder’s proportionate interest in the voting rights of the Company increases, such increase will be treated as an acquisition of voting rights for the purposes of the Takeovers Code. Accordingly, a Shareholder or a group of Shareholders acting in concert (within the meaning under the Takeovers Code), depending on the level of increase in the Shareholders’ interest, could obtain or consolidate control of the Company and thereby become obliged to make a mandatory offer in accordance with Rule 26 of the Takeovers Code.
To the best knowledge of the Company, as at the Latest Practicable Date, Special Access Limited (“SAL”) and Careful Guide Limited (“CGL”) were interested in 74,250,000 Shares and 70,000,000 Shares representing 19.14% and 18.05% of the total issued share capital of the Company respectively, making an aggregate holding of 144,250,000 Shares representing 37.19% of the total issued share capital of the Company. SAL is wholly owned by Mr. Tai Tak Fung, Stephen and Ms. Wu Mei Yung, Quinly, executive directors of the Company and CGL is wholly owned by Mr. Tai Tak Fung, Stephen. Besides, as at the Latest Practicable Date, Hong Kong Food Investment Holdings Limited (“HKFH”), a substantial shareholder of the Company and the shares of which are listed on the main board of the Stock

Exchange, was interested in 115,228,000 Shares, representing 29.70% of the total issued share capital of the Company. HKFH is owned as to 0.07% by the Company, as to 2.59% by Mr. Tai Tak Fung, Stephen, as to 20.38% by SAL, and as to 11.91% by CGL. As Ms. Wu Mei Yung, Quinly is the spouse of Mr. Tai Tak Fung, Stephen, Ms. Wu Mei Yung, Quinly is deemed to be interested in Mr. Tai Tak Fung, Stephen’s interests in the Shares and vice versa. Mr. Tai Tak Fung, Stephen and Ms. Wu Mei Yung, Quinly are therefore deemed to be interested in 259,478,000 Shares, representing 66.89% of the total issued share capital of the Company. In the event that the Directors exercise the proposed Buyback Mandate in full, the aggregate holding of Mr. Tai Tak Fung, Stephen and Ms. Wu Mei Yung, Quinly acting in concert would be increased to approximately 74.32% of the Company’s total issued share capital.
The Directors are not aware of any consequences which may arise under the Takeovers Code as a consequence of any repurchases pursuant to the Buyback Mandate.
The Directors have no intention to exercise the Buyback Mandate to such an extent as will result in the number of Shares in the hands of the public float percentage fall below 25% as required under the Listing Rules.
7. GENERAL
To the best of their knowledge having made all reasonable enquiries, none of the Directors nor any of their respective associates (as defined by the Listing Rules) have any present intention to sell any Shares to the Company in the event that the granting of the Buyback Mandate is approved by Shareholders.
The Company has not been notified by any connected persons (as defined in the Listing Rules) of the Company that they have a present intention to sell any Shares to the Company, or that they have undertaken not to sell any Shares held by them to the Company in the event that the granting of the Buyback Mandate is approved by its Shareholders.
The Directors have undertaken to the Stock Exchange to exercise the power of the Company to make repurchases of Shares pursuant to the Buyback Mandate in accordance with the Listing Rules and the laws of the Cayman Islands.
8. REPURCHASES OF SHARES MADE BY THE COMPANY
During the 6 months prior to the Latest Practicable Date, the Company had not repurchased any of the Shares (whether on the Stock Exchange or otherwise).

APPENDIX II DETAILS OF THE RETIRING DIRECTORS PROPOSED TO BE RE-ELECTED AT THE ANNUAL GENERAL MEETING
The following are details of the Directors who will retire and being eligible, offer themselves for re-election at the Annual General Meeting.
Ms. WU Mei Yung, Quinly , PhD (honoris causa) , aged 60, has been an executive director of the Company since June 1993. She is also a member of the executive committee and the remuneration committee of the Company. Ms. Wu is a co-founder and the managing director of the Group, responsible for the Group’s strategic planning and operation policies, leading the Group’s core business in congruence with its corporate development. She has more than 30 years’ experience in the food and confectionery business. Ms. Wu is also a director of CGL and SAL, both of which are the substantial shareholders of the Company, and a director of various subsidiaries of the Company. Save as disclosed above, Ms. Wu has not held any directorship in the last three years in other public companies the securities of which are listed on any securities market in Hong Kong and overseas.
Ms. Wu is the spouse of Mr. Tai Tak Fung, Stephen, the chairman and an executive director of the Company, and a sister of Mr. Wu Wing Biu, an executive director of the Company. Save as disclosed above, Ms. Wu does not have any relationship with any directors, senior management, substantial shareholders or controlling shareholders of the Company.
As at the Latest Practicable Date, Ms. Wu was interested in 259,478,000 Shares within the meaning of Part XV of the SFO. Save as disclosed above, she does not have any other interest in the Shares which is required to be disclosed pursuant to Part XV of the SFO.
Ms. Wu has entered into a service contract with the Company for a term of two years commencing on 1 April 2012 and is subject to termination by either party by giving not less than three months’ written notice. She is also subject to retirement by rotation and re-election at the Company’s annual general meetings pursuant to Article 119 of the Articles of Association.
According to the service contract, Ms. Wu is entitled to emoluments of HK$1,313,000 per annum comprising director’s fee, salary as well as other benefits in kind and allowances, which has been determined by the Board based on Ms. Wu’s experience, responsibilities and the prevailing market level of remuneration of executives of similar positions. Ms. Wu is also entitled to discretionary management bonus which shall be decided in the sole discretion of the Board based on her performance for the previous year.
Save as disclosed above, there is no information to be disclosed pursuant to any of the requirements under Rules 13.51(2) of the Listing Rules and there are no other matters concerning Ms. Wu that need to be brought to the attention of the Shareholders.
Mr. NAM Chi Ming, Gibson , aged 52, has been an executive director of the Company since April 2010. Mr. Nam is responsible for managerial controls and company secretarial affairs. He holds a Master of Business Administration degree from The Chinese University of Hong Kong. Mr. Nam is a member of The Hong Kong Institute of Certified Public Accountants, a fellow member of the Association of Chartered Certified Accountants in the United Kingdom and an associate of both The Hong Kong Institute of Chartered Secretaries and The Institute of Chartered Secretaries and Administrators. He has extensive financial and managerial experience. Mr. Nam is also a director of certain of the Company’s subsidiaries. Save as disclosed above, Mr. Nam has not held any directorship in the last three years in other public companies the securities of which are listed on any securities market in Hong Kong and overseas.

APPENDIX II DETAILS OF THE RETIRING DIRECTORS PROPOSED TO BE RE-ELECTED AT THE ANNUAL GENERAL MEETING
Mr. Nam does not have any relationship with any directors, senior management, substantial shareholders or controlling shareholders of the Company.
As at the Latest Practicable Date, Mr. Nam does not have any interest in the Shares which is required to be disclosed pursuant to Part XV of the SFO.
Mr. Nam has entered into a service contract with the Company for a term of two years commencing on 1 April 2012 and is subject to termination by either party by giving not less than three months’ written notice. He is also subject to retirement by rotation and re-election at the Company’s annual general meetings pursuant to Article 119 of the Articles of Association.
According to the service contract, Mr. Nam is entitled to emoluments of HK$1,120,000 per annum comprising director’s fee, salary as well as other benefits in kind and allowances, which has been determined by the Board based on Mr. Nam’s experience, responsibilities and the prevailing market level of remuneration of executives of similar positions. Mr. Nam is also entitled to discretionary management bonus which shall be decided in the sole discretion of the Board based on his performance for the previous year.
Save as disclosed above, there is no information to be disclosed pursuant to any of the requirements under Rules 13.51(2) of the Listing Rules and there are no other matters concerning Mr. Nam that need to be brought to the attention of the Shareholders.
Ms. LEUNG Mei Han , aged 54, has been an independent non-executive director of the Company since December 1998. She is also the chairman of the audit committee and a member of the nomination committee and the remuneration committee of the Company. Ms. Leung holds a Bachelor of Commerce degree from the University of Queensland in Australia and is a fellow member of the CPA Australia. She has more than 20 years’ experience in accounting, securities, corporate finance and related areas. Ms. Leung is an executive director of AMCO United Holding Limited. She is also an independent nonexecutive director of Bossini International Holdings Limited and Yue Da Mining Holdings Limited, the shares of which are listed on the main board of the Stock Exchange. She was an independent nonexecutive director of Xiangyu Dredging Holdings Limited from May 2011 to May 2013. Save as disclosed above, Ms. Leung has not held any directorship in the last three years in other public companies the securities of which are listed on any securities market in Hong Kong and overseas.
Ms. Leung does not have any relationship with any directors, senior management, substantial shareholders or controlling shareholders of the Company.
As at the Latest Practicable Date, Ms. Leung does not have any interest in the Shares which is required to be disclosed pursuant to Part XV of the SFO.
Ms. Leung has been appointed with an appointment letter by the Company without a specific term but is subject to retirement by rotation and re-election at the Company’s annual general meetings pursuant to Article 119 of the Articles of Association.

(a) Subject to paragraph (c) below, a general mandate be and is hereby generally and unconditionally given to the Directors of the Company during the Relevant Period (as defined below) to allot, issue and deal with additional Shares in the capital of the Company and to make or grant offers, agreements and options which might require the exercise of such powers;

(b) the mandate in paragraph (a) above shall authorise the Directors of the Company to make or grant offers, agreements and options during the Relevant Period which would or might require the exercise of such powers after the end of the Relevant Period;

(c) the aggregate nominal amount of share capital allotted or agreed conditionally or unconditionally to be allotted by the Directors pursuant to the mandate in paragraph (a) above, otherwise than pursuant to:

(i) a Rights Issue (as defined below);

(ii) the exercise of options under a share option scheme of the Company; and
-
(iii) any scrip dividend scheme or similar arrangement providing for the allotment of Shares in lieu of the whole or part of a dividend on Shares of the Company in accordance with the Articles of Association of the Company,
shall not exceed 20% of the aggregate nominal amount of the issued share capital of the Company on the date of passing of this resolution and the said mandate shall be limited accordingly; and

NOTICE OF THE ANNUAL GENERAL MEETING
Notes:

(a) All resolutions at the Annual General Meeting will be taken by poll except where the chairman, in good faith, decides to allow a resolution which relates purely to a procedural or administrative matter to be voted on by show of hands pursuant to the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited (the “Listing Rules”). The results of the poll will be published on the websites of Hong Kong Exchanges and Clearing Limited and the Company in accordance with the Listing Rules.

(b) Any Shareholder of the Company entitled to attend and vote at the above meeting is entitled to appoint a proxy or more than one proxy to attend and vote instead of him. A proxy need not be a Shareholder of the Company.

(c) In order to be valid, the form of proxy together with the power of attorney or other authority, if any, under which it is signed or a notarially certified copy of that power of attorney or authority, must be deposited at the Company’s branch share registrar in Hong Kong, Tricor Tengis Limited, at 26th Floor, Tesbury Centre, 28 Queen’s Road East, Wanchai, Hong Kong not less than 48 hours before the time appointed for the holding of the above meeting or any adjournment thereof. Delivery of the form of proxy shall not preclude a Shareholder of the Company from attending and voting in person at the meeting and, in such event, the instrument appointing a proxy shall be deemed to be revoked.

(d) For determining the entitlement to attend and vote at the above meeting, the Register of Members of the Company will be closed from Wednesday, 21 August 2013 to Friday, 23 August 2013 (both days inclusive), during which period no transfer of Shares will be registered. In order to be eligible to attend and vote at the Annual General Meeting, all transfer documents accompanied by the relevant share certificates must be lodged with the Company’s branch share registrar in Hong Kong, Tricor Tengis Limited, at 26th Floor, Tesbury Centre, 28 Queen’s Road East, Wanchai, Hong Kong for registration not later than 4:30 p.m. on Tuesday, 20 August 2013.
