Qurius Netherlands now formally part of Prodware Group

Zaltbommel, 20 December 2012 – Qurius N.V. announces that it has received Prodware's payment for the sale of its remaining operating companies amounting to 139,480 Prodware shares (current trading value approximately EUR 7.50, representing a total value of just over EUR 1 million) and the assumption of EUR 9.5 million debts of Qurius N.V. All payments between Prodware S.A. and Qurius N.V. are herewith settled.

Qurius N.V. also formally transferred the shares of Qurius Netherland B.V. (including QIPtree B.V.) to Prodware. The formal transfer of Qurius Czech is expected to be completed in the coming weeks. This leaves Qurius N.V. as a net-debt free, empty shell company with no activities and no other assets than cash and the Prodware shares it received as a payment.

In the Extraordinary General Meeting of shareholders (EGM) on 4 October, shareholders requested to consider the option of maintaining the holding, Qurius N.V., instead of liquidating the company. This with the apparent purpose of selling the stock listed company as an empty shell company if that would be more beneficial to the shareholders. The chairman of the Meeting promised to do this and following the efforts that have since been made, it appears that the interest from the market in Qurius N.V. has been renewed. The Executive Board and the Supervisory Board are currently assessing multiple options in order to determine which is in the best interest of the shareholders. The board of Qurius N.V. will soon call an EGM in order to discuss the future of the company with the shareholders.

Mr Leen Zevenbergen, CEO of Qurius N.V. and Managing Director of Qurius Netherlands, steps down with immediate effect as CEO of Qurius N.V. As previously announced, Mr Zevenbergen will focus on strategy, international customers and innovation for Prodware. Mr Evert Smid, member of the Supervisory Board of Qurius N.V. also steps down with immediate effect as the company deploys no business activities that need to be supervised and in order to bring the costs of the company in line with the tasks that remain with the Supervisory Board.
