Sub: Outcome of the Board Meeting- April 30, 2020
(1) Approval of audited Financial Results fot· the Year ended March 31, 2020 and Limited Reviewed Financial Results for the Quarter ended March 31, 2020:
Pursuant to Regulation 33 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, the Board of Directors approved the Audited Standalone and Consolidated Financial Results of the Company for the Year ended March 31, 2020 and Limited Reviewed Financial Results of the Company for the Quarter ended March 31, 2020, which are enclosed herewith along with the Audit Rep01is (including Limited Review Reports) issued by Deloitte Haskins & Sells LLP, the Statutory Auditors of the Company.
The financial results are also available on the website of the Company at www.lauruslabs.com and also on the websites of BSE Ltd. and National Stock Exchange of India Ltd. viz. w\vw.bseindia.com and www.nseinda.com respectively.
(2) Recommendation of final Dividend for FY 2019-20:
The Board of Directors have recommended a final dividend ofRs.l.OO (10%) per equity share of face value of Rs.1 0/- each, for the financial year 2019-20.
Due to the ongoing Covid-19 pandemic and unpredictable situation, the date of Annual General Meeting has not been finalised by the Board. Therefore, the Book closure dates and the intimation regarding payment of Dividend to shareholders (if declared at the ensuing Annual General Meeting) will be intimated later.
(3) Sub-division (Split) of equity shares of Face value ofRs. 10/- each:
The Board of Directors have recommended for the sub-division of equity shares of the Company from existing face value of Rs. 10/- each to face value of Rs. 2/- each (i.e. split of 1 equity share of Rs.1 0/- into 5 equity shares of Rs.2/- each), to the approval of the shareholders.~=,..__ in the ensuing Annual General Meeting of the Company and subject to other approvals s ..P..Bs ( may be required. · .;::, ~ .

(4) Re-appointment of Dr. Venugopala Rao Malempati, Independent Director as the Chairman of the Board for a further period of two years
The Directors have re-elected Dr. Venugopala Rao Malempati, Independent Director as Non-Executive Chauman of the Board for a fmiher period of two years with effect from May 18, 2020.
Dr. MVG Rao was elected as the Chaitman of the Board from May 18, 2017 and May 18, 2018 for a period of one year and two years respectively.
(5) Approval of proposal for merger of two foreign subsidiaries of the Company
The Board of Directors have approved the proposal of merger of rnls. Lamus Synthesis Inc. USA (Subsidiary of the Company) with M/s. Laums Generics Inc. USA (Step-down Subsidiary of the Company), which is subject to the approvals from the respective statutory and regulatory authorities.
The details required under Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 read with SEBI Circular No. CIR/CFD/CMD/4/2015 dated September 9, 2015 are given in the Annexure-2.
The Board Meeting commenced at 2.00 PM and concluded at 3.00 PM.

- 1 The above consolidated financial results of Laurus Labs Limited ("the Company") as reviewed by the Audit Committee has been approved by the Board of Directors at its meeting held on April 30, 2020. The results for the year ended March 31, 2020 has been audited and for the quarter ended !\•larch 31, 2020 has been reviewed by our statutory auditors. The statutory auditors of the Company have expressed an unmodified opinion thereon.

5 The Com pan)' and its subsidiaries are engaged in the man ufacture and sale of "Pharmaceuticals" which constitutes a single reportable business segment as per lnd AS 108 - 'Operating Segments'.
- 6 Effective April1, 2019, the Group adopted lnd AS 116 "Leases", applied to all lease contracts existing on Apri11, 2019 using the modified retrospective method and has taken the cumulative adjustment lo retained earnings, on the dale of initial application. According!)', compa ratives for the )'ear ended March 31, 2019 have not been retrospective!)' adjusted. During the quarter and year ended, the Group has recognised interest expense on lease amow1ting lo '{ 4.48 om, '{ 18.64 om and depreciation on right-of-use assets amounting to '{ 4.20 mn, '{ 19.68 mn respective!)'.
- 7 The Board of Directors, at their meeting held on August 02, 2019, approved the proposal to acquire lhe 100% shares of Phekolong Pharmaceuticals Pt)' Ltd, a wholl)' owned subsidiary of Phannacare Limited 1/ a Aspen Pharmacare, South Africa . The transaction is expected to close subject to completion of conditions precedent.
8 (a) The Board of Directors, at their meeting held on March 12, 2020 approved for the pa)'menl of interim dividend of'{ 1.50/ - per share. The Board of Directors,
at their meeting held on April 30, 2020, recommended a final dividend of'{ 1.00/- per share, subject to lhe approval of shareholders.

Notes:
- 1 The above standalone financial results of Laurus Labs Limited ("the Company") as reviewed by the Audit Committee has been approved by the Board of Directors at its meeting held on April 30, 2020. The results for the year ended March 31, 2020 has been audited and for the quarter ended March 31, 2020 has been reviewed by our statutory auditors. The statutory auditors of the Company have expressed an wmwdified opinion thereon.
- 2 These standalone financial results of the Company have been prepared in accordance with the Indian Accounting Standards prescribed under Section 133 of the Companies Act, 2013 ("the Act") read with relevant rules issued thereunder ('IND AS') and other accounting principles generally accepted in India and guidelines issued by the Securities and Exchange Board of India ("SEBl").
- 3 In accordance with Indian Accounting Standard (Ind AS) 108 on 'operating segments', segment information has been given in the consolidated financial results of the Company, and therefore no separate disclosure on segment information is given in these standalone financial results.
- 4 During the year ended March 31, 2020, the Company allotted 477,750 equity shares of ~ 10/- each, consequent to the exercise of the stock options by the employees of the Company under the Employee Stock Option Plan.
- 5 Effective April 1, 2019, the Company adopted Ind AS 116 "Leases", applied to all lease contracts existing on April 1, 2019 using the modified retr·ospective method and has taken the cumulative adjustment to retained earnings, on the date of initial application. Accordingly, comparatives for the year ended March 31,2019 have not been retrospectively adjusted. During the quarter and year ended, the Company has recognised interest expense on lease amounting to~ 4.48 mn, ~ 18.64 mn and depreciation on right-of-use assets amounting to~ 4.20 mn, ~ 19.68 mn respectively.
- 6 11te Board of Directors, at their meeting held on August 02, 2019, approved the proposal to acquire the 100% shares of Phekolong Pharmaceuticals Pty Ltd, a wholly owned subsidiary of Pharmacare Limited t/a Aspen Pha.rmacare, South Aft·ica. The tr·ansaction is expected to close subject to completion of conditions precedent.
- 7 (a) The Board of Directors, at theit· meeting held on March 12, 2020 approved for the payment of ittteritn dividend of~ 1.50/- per share. The Board of Dit·ectors, at their meeting held on April 30, 2020, recommended a final dividend of~ 1.00/- per share, subject to the approval of shareholders.
- (b) The Board of Di1·ectors, at theit· meeting held on April 30, 2020, recommended for the sub-division of equity shares of the Company hom existing face value of Rs. 10/- each to face value of Rs. 2/- each (i.e. split of 1 equity share of Rs.lO/- each into 5 equity shares of Rs.2/- each), subject to the approval of the shareholders in the ensuing Annual General Meetittg of the Company and other regulatory approvals.
- 8 COVill-19 is the infectious disease caused by the most recently discovered coronavit·us, SARS-CoV-2. In March 2020, the WHO declared COVID-19 a pandemic. The Company has adopted measures to curb the spread of ittfection itt order to protect the health of our employees and ensure business continuity with minitnal disruption.
In assessing the recoverability of receivables and other financials assets, the Company has considered internal and external information upto the date of approval of these Standalone financial results. Tite itnpact of the global health pandemic may be different ft·om that of estimated as at the date of approval of these standalone financial results and the Company will continue to closely monitor any material changes to future economic conditions.
9 The figures for the current quarter and quarter ended March 31, 2019 are the balancing figures between the audited figures in respect of the full financial year ended March 31, 2020 and March 31, 2019, respectively and published year to date figures up to third quarter ended December 31, 2019 and December 31, 2018, respectively, regrouped as necessary.
