SECTION 708A NOTICE – SHARES ISSUED ON CONVERSION OF CONVERTIBLE NOTES

On 24 May 2018, Australian Whisky Holdings Limited (“ Company ”) issued 133,710,086 new fully paid ordinary shares in the Company (“ New Shares ”). The New Shares are issued to Convertible Note Holders of the Company upon the conversion of convertible notes and in consideration of accrued interest liabilities. The issue of the majority of the convertible notes were approved by shareholders of the Company at the Annual General Meeting held on 28 November 2017. The balance of the convertible notes (being those issued to Quality Life Pty Ltd), were approved by shareholders at the Annual General Meeting held on 30 November 2016 (with the extension of the maturity date of those convertible notes approved by shareholder at the Annual General Meeting of the Company held on 28 November 2017).

The Company hereby gives notice that:

1. the New Shares were issued by the Company without a disclosure document under Part 6D.2 of the Corporations Act 2001 ( Act );

2. this notice has been given under section 708A(5)(e) of the Act;

3. as at the date of this notice, the Company has complied with:

4. (a) the provisions of Chapter 2M of the Act as they apply to the Company; and

5. (b) section 674 of the Act; and

6. as at the date of this notice, there is no information that is ‘excluded information’ as defined in subsections 708A(7) and 708A(8) of the Act.

An Appendix 3B with respect to the issue of the New Shares was lodged by the Company with ASX on 24 May 2018.
