SECTION 708A NOTICE – SHARES ISSUED AS APPROVED ON 22 MAY 2018

On 30 May 2018, Australian Whisky Holdings Limited (“ Company ”) issued 100,000,000 new fully paid ordinary shares in the Company (“ AW FIV Shares ”). The AW FIV Shares were issued as a private placement as consideration for a $3,000,000 investment in the Company. On 31 May 2018 the Company issued a further 264,709,074 shares pursuant to approvals received at the General Meeting of the Company held on 22 May 2018 (“ Further Shares ”). The Further Shares were issued:

1. as the second tranche of the private placement announced on 8 March 2018;

2. as a placement to other investors as set out in the Notice of Meeting released on 20 April 2018; and

3. as consideration in lieu of the repayment of debts to several related and unrelated creditors of the Company as disclosed in the Notice of Meeting released on 20 April 2018.

The Company hereby gives notice that:

1. the New Shares were issued by the Company without a disclosure document under Part 6D.2 of the Corporations Act 2001 ( Act );

2. this notice has been given under section 708A(5)(e) of the Act;

3. as at the date of this notice, the Company has complied with:

4. (a) the provisions of Chapter 2M of the Act as they apply to the Company; and

5. (b) section 674 of the Act; and

6. as at the date of this notice, there is no information that is ‘excluded information’ as defined in subsections 708A(7) and 708A(8) of the Act.

An Appendix 3B with respect to the issue of the AW FIV Shares Shares was lodged by the Company with ASX on 30 May 2018 and a further Appendix 3B for the issue of the Further Shares was issued on 31 May 2018.
