SECTION 708A NOTICE – SHARES ISSUED AS APPROVED ON 28 JUNE 2018

On 28[th] June, 2018 Australian Whisky Holdings Limited (“ Company ”) issued 307,925,000 new fully paid ordinary shares in the Company (“ New Shares ”). The New Shares were issued to shareholders of Lark Distillery Pty Ltd pursuant to the Offer to Purchase Shares dated 26[th] February, 2018 and approved at the General Meeting of shareholders held on 28 June 2018.

The Company hereby gives notice that:

1. the New Shares were issued by the Company without a disclosure document under Part 6D.2 of the Corporations Act 2001 ( Act );

2. this notice has been given under section 708A(5)(e) of the Act;

3. as at the date of this notice, the Company has complied with:

4. (a) the provisions of Chapter 2M of the Act as they apply to the Company; and

5. (b) section 674 of the Act; and

6. as at the date of this notice, there is no information that is ‘excluded information’ as defined in subsections 708A(7) and 708A(8) of the Act.

An Appendix 3B with respect to the issue of the New Shares was lodged by the Company with ASX on the 29[th] June, 2018.
