SECTION 708A NOTICE – SHARES ISSUED ON 12 NOVEMBER 2018

Australian Whisky Holdings Limited (“ Company ”) has received funding commitments in respect of a total of $11,946,049 from sophisticated and professional investors, for a placement of new fully paid ordinary shares in the Company (“ New Shares ”) at a price of $0.041 per New Share. On 12 November 2018, the Company issued 242,586,570 New Shares in respect of $9,946,049 in funds received. The balance of the committed funds (being $2 million) are due for payment to the Company by 19 November 2018, on or about which date further New Shares will be issued.

The Company hereby gives notice that:

1. the New Shares were issued by the Company without a disclosure document under Part 6D.2 of the Corporations Act 2001 ( Act );

2. this notice has been given under section 708A(5)(e) of the Act;

3. as at the date of this notice, the Company has complied with:

   • (a) the provisions of Chapter 2M of the Act as they apply to the Company; and

   • (b) section 674 of the Act; and

4. as at the date of this notice, there is no information that is ‘excluded information’ as defined in subsections 708A(7) and 708A(8) of the Act.

An Appendix 3B with respect to the issue of the New Shares was lodged by the Company with ASX on 12 November 2018.
