Update re Acquisition of the Nant Distillery Business and the Nant Estate

Australian Whisky Holdings Limited ( AWY ) refers to its previous announcements dated 17 October 2016 and 16 December 2016 with respect to its proposed acquisition of the Nant Distillery Business and the Nant Estate from the Nant Group.

AWY is pleased to advise that on 19 January 2017, AWY and the Nant Group entered into various transaction agreements including the Land Sale Agreement with respect to the sale and purchase of the Nant Estate; and the Business Sale Agreement with respect to the sale and purchase of the business assets from the Nant Distillery Business.

The completion of the transaction agreements will be subject to various conditions including but not limited to the release of encumbrances over the property and assets, no adverse action, and third party consents.

AWY and the Nant Group are working towards the completion.
