Notice under section 249D of the Corporations Act 2001

On 14 March 2019, Australian Whisky Holdings Limited (ASX: AWY) ( the Company ) received a notice under section 249D of the Corporations Act 2001 (Cth) ( Notice ) from Quality Life Pty Ltd ( Requisitioning Shareholder ). Mr Bruce Neill is the sole director and shareholder of the Requisitioning Shareholder.

The Notice requisitions the Company’s directors to call a meeting of members of the Company to move resolutions for the removal of Terry Cuthbertson, Peter Herd, Gary Mares and Stuart Grant as directors of the Company, and the appointment of Geoff Bainbridge and David Dearie as directors of the Company.

The Company has come to the view that, whilst the proposed resolutions to appoint Mr Bainbridge and Mr Dearie as directors of the Company are valid, the proposed resolutions to remove Mr Cuthbertson, Mr Herd, Mr Mares and Mr Grant as directors of the Company, may not have been provided in accordance with the requirements of the Corporations Act. The Company is obtaining legal advice on this point.
