Further notice under section 249D of the Corporations Act 2001

Further to its announcement of 18 March 2019, Australian Whisky Holdings Limited (ASX: AWY) ( the Company ) now advises that on 21 March 2019, it received a further notice ( Further Notice ) under section 249D of the Corporations Act 2001 (Cth) ( Corporations Act ) from Quality Life Pty Ltd ( Requisitioning Shareholder ). Mr Bruce Neill is the sole director and shareholder of the Requisitioning Shareholder.

On 14 March 2019, the Requisitioning Shareholder provided the Company with a notice under section 249D ( Original Notice ). The Company challenged the validity of four resolutions in the Original Notice. The Requisitioning Shareholder today submitted the Further Notice to the Company which the Company has accepted as being compliant.

The Further Notice requisitions the Company’s directors to call and hold a general meeting of members of the Company at which it will be proposed that control of the Company’s Board is passed to nominees of the Requisitioning Shareholder.

In accordance with their obligations under the Corporations Act, the Directors will convene one meeting at which members of the Company will consider four resolutions proposing that Mr Peter Herd, Mr Terry Cuthbertson, Mr Gary Mares and Mr Stuart Grant be removed from the Company’s Board and two resolutions proposing that Mr Geoff Bainbridge and Mr David Dearie be appointed to the Company’s Board.

Further information will be provided to members in the Notice of Meeting which will be released when the Meeting is called.
