Laramide Resources Ltd (ARBN 154 146 755) Supplementary Prospectus

This supplementary prospectus ( Supplementary Prospectus ) is dated 25 February 2013 and is supplementary to the replacement prospectus dated 14 February 2013 issued by Laramide Resources Ltd ARBN 154 146 755 ( Laramide or the Company ) ( Replacement Prospectus ). Terms and abbreviations defined in the Replacement Prospectus have the same meaning in this Supplementary Prospectus.

This Supplementary Prospectus was lodged with the Australian Securities and Investments Commission ( ASIC ) on 25 February 2013. Neither ASIC nor the Australian Securities Exchange ( ASX ), nor their respective officers, take any responsibility for the contents of this Supplementary Prospectus.

This Supplementary Prospectus was issued by the Company to supplement the Replacement Prospectus and must be read together with the Replacement Prospectus. If there is a conflict between the Replacement Prospectus and this Supplementary Prospectus, this Supplementary Prospectus will prevail.

This Supplementary Prospectus will be issued with the Replacement Prospectus as an electronic prospectus and may be accessed on the internet at www.laramide.com.

The Replacement Prospectus and this Supplementary Prospectus are important and should both be read in their entirety. Please consult your legal, financial or other professional adviser if you do not fully understand the contents of these documents.

This Supplementary Prospectus contains particulars of the changes to the Replacement Prospectus. Other than the changes set out below, all other details in the Replacement Prospectus remain unchanged.

1. CHANGES TO THE OFFER PERIOD AND THE KEY DATES OF THE OFFER

The Offer period is being extended. This extension changes the key dates from the Closing Date onwards. The key date changes are as follows:

Closing Date	5.00 p.m. WST on 1 March 2013
Despatch of Holding Statements	15 March 2013
Expected date of official quotation on ASX	22 March 2013

2. APPROVAL OF SUPPLEMENTARY PROSPECTUS

This Supplementary Prospectus has been approved by a resolution passed by the Directors of the Company. Each of the Directors voted in favour of that resolution.
