Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

The board of directors (the “Board”) of Lantronix, Inc. (the “Company”) has appointed Saleel Awsare, the President and Chief Executive Officer of the Company, as a member of the Board effective as of November 20, 2023, to serve until the Company’s 2024 annual meeting of stockholders and until his successor is elected or qualified, or until his earlier death, resignation or removal. With the appointment of Mr. Awsare, the Board consists of five directors, four of whom the Board has determined are independent under applicable listing standards of the Nasdaq Stock Market.

There is no arrangement or understanding pursuant to which Mr. Awsare was appointed as a director, and there are no related party transactions between the Company and Mr. Awsare that would require disclosure under Item 404(a) of Regulation S-K. Mr. Awsare has not been appointed to any committee of the Board at this time. As an officer of the Company, Mr. Awsare will not receive any additional compensation for his service as a director.

The Company issued a press release on November 21, 2023, announcing the appointment of Mr. Awsare to the Board. The press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
