Item 8.01. Other Events.
Landmark Bancorp, Inc., a Delaware corporation (the “Company”), which trades under the ticker symbol LARK, has become aware that certain market participants have given incorrect information to the Company’s shareholders regarding the Company’s participation in a transaction. On March 1, 2021, Fidelity D & D Bancorp, Inc. filed a Form 8-K with the Securities and Exchange Commission announcing that it had entered into an agreement and plan of reorganization with Landmark Bancorp, Inc., a Pennsylvania corporation, which trades under the ticker symbol LDKB. The Landmark Bancorp, Inc. that was a party to such agreement has no relation with the Company. The Company is not a party to this agreement nor a participant in the transaction related to this agreement, and the Company has no relationship with this transaction.
