Item 2.02. Results of Operations

On April 26, 2007, Landmark Bancorp, Inc. (the “Company”) issued a press release announcing its earnings for the quarter ended March 31, 2007. The press release is attached hereto as Exhibit 99.1.

Item 8.01. Other Events

On April 26, 2007, the Company also announced in the press release that its Board of Directors approved a cash dividend of $0.19 per share to be paid to all stockholders of record as of May 9, 2007 and payable on May 21, 2007. A copy of the press release is attached hereto as Exhibit 99.1.
