Item 2.02. Results of Operations and Financial Condition

On February 10, 2005, Landmark Bancorp, Inc. issued a press release announcing its earnings for the quarter and year ended December 31, 2004. The press release is attached hereto as Exhibit 99.1.

Item 8.01. Other Events

On February 10, 2005, the Company also announced in the press release that its Board of Directors approved a cash dividend of $0.17 per share to be paid to all stockholders of record as of February 22, 2005 and payable on March 7, 2005. A copy of the press release is attached hereto as Exhibit 99.1.
