NOTICE OF CHANGE IN SHARE CAPITAL

PURSUANT TO ARTICLE 85-BIS OF THE REGULATIONS ADOPTED BY CONSOB RESOLUTION NO. 11971 DATED MAY 14, 1999, AS AMENDED, AND ARTICLE 2.6.2, PARAGRAPH 1, LETTER A), OF THE MARKET REGULATIONS BOTH ORGANIZED AND MANAGED BY BORSA ITALIANA S.P.A.

Cavriago (RE), December 19, 2024 - Landi Renzo S.p.A. (the "Company" or "Landi Renzo"), following the announcement made on November 22, 2024, announces, pursuant to Article 85-bis of Consob Regulation 11971/1999, the new composition of the share capital (fully subscribed and paid-in) and voting rights following the completion of the transactions related to the option capital increase and the capital increase reserved for Invitalia - Agenzia nazionale per l'attrazione degli investimenti e lo sviluppo d'impresa S.p.A. (as last announced to the market on December 18, 2024), both of which were approved by the Company's Board of Directors on November 6, 2024, pursuant to the delegation granted by the Extraordinary Shareholders' Meeting on September 24, 2024.
