Approval of the documentation for the filing of the application for access to negotiated settlement of the crisis

Cavriago (RE), 7 August 2025 – The Board of Directors of Landi Renzo S.p.A. ("Landi Renzo" or the "Company"), which met today, approved the documentation required to file an application for access to negotiated settlement of the corporate crisis (the "CNC"), in line with what was previously communicated to the market on 9 July 2025. The application was filed today.

As previously announced, the measure is aimed at (i) safeguarding the Company's business continuity, (ii) overcome the temporary and transitory financial difficulties that the Company is experiencing through orderly debt negotiation with the aim of ensuring business continuity, and (iii) pursue profitable corporate management and preserve the value of the company for the benefit of all stakeholders and will only affect Landi Renzo and its subsidiary Metatron S.p.A..

For matters relating to the CNC and relations with banks, the Company is assisted by Claudio Calabi as strategic financial advisor, EQUITA Debt Advisory (formerly CAP Advisory) as financial advisor with a team led by Fabio Cassi, and the law firm PedersoliGattai with a team led by Maura Magioncalda.
