Merger by absorption of Lovato Gas S.p.A. with sole shareholder in Landi Renzo S.p.A.

Cavriago (Reggio Emilia), 19 November 2020

Further to the press release published on 11 September 2020, it is noted that Landi Renzo S.p.A. and Lovato Gas S.p.A. with sole shareholder – in furtherance of the resolutions adopted on 11 September 2020 by respectively the Board of Directors of Landi Renzo S.p.A. and the Extraordinary Shareholders' Meeting of Lovato Gas S.p.A. with sole shareholder – have executed today (in front of the Notary Giuseppe Chiantera in Reggio Emilia) the public deed of merger regarding the merger by absorption of Lovato Gas S.p.A. with sole shareholder (entirely owned by Landi Renzo S.p.A.) in Landi Renzo S.p.A. (the "Merger").

In accordance with article 2504-bis, second paragraph, of the Italian civil code, the Merger will take civil effect (towards third parties) from 1 December 2020 or, if subsequent, from the date on which the last of the required registrations of the merger deed with the competent Companies' Register is completed. The transactions executed by Lovato Gas S.p.A. with sole shareholder will instead be ascribed to the financial statements of Landi Renzo S.p.A., also for accounting and tax purposes, from the first day of the fiscal year during which the Merger has become effective vis-à-vis third parties.

The incorporating company Landi Renzo S.p.A. starting from the effective date of the Merger will take over, according to art. 2504-bis, first paragraph, of the Italian civil code, all rights and obligations of any nature of Lovato Gas S.p.A. with sole shareholders and will take over all of its assets and active and passive relationships, of any type and nature.
