References are made to the announcements of Labixiaoxin Snacks Group Limited dated 5 February 2026 and 18 March 2026 in relation to the discloseable transaction (the "Announcements"). Capitalised terms used herein shall have the same meaning as those defined in the Announcements.

The Board is pleased to announce that all the conditions precedent as set out in the Sale and Purchase Agreement have been fulfilled and the Completion took place on 31 March 2026. The Consideration Shares and the Convertible Bonds have been issued in accordance with the terms and conditions of the Sale and Purchase Agreement.

Following the Completion, the Target Company has become a wholly owned subsidiary of the Company, and its financial results will be consolidated into the financial statements of the Group.
