Gool acquisition review

On 29 April 2022, non-binding understandings were reached on the full acquisition of Gool Ltd. (hereinafter: "Gool", a private company that owns and operates, inter alia, the top Israeli online higher science education website – www.gool.co.il – and matriculation subjects website – www.bagrut.co.il.

Pursuant to the understandings, consideration for the deal will comprise an immediate payment of NIS 36 million, and additional consideration equal to 25% of Gool's average EBITDA times 8 in 2022-2024, which will be paid to the Gool shareholders (hereinafter: "the Sellers") in three tranches in 2023-2025. At the prescribed dates, the Sellers will be paid a declining share of the distributable profits of Gool in 2022-2024, which will be calculated on the basis of the audited financial statements (hereinafter: "the distributable profits") at a rate of 8.33-25% of the distributable profits in 2022-2024.
