NOTICE OF CHANGE OF AUDITORS

TO: MNP LLP (“ MNP ”) MS Partners LLP (“ MS ”)

AND TO: British Columbia Securities Commission Alberta Securities Commission Ontario Securities Commission

Pursuant to Section 4.11 of National Instrument 51-102 – Continuous Disclosure Obligations (“ NI 51102 ”), Kuuhubb Inc. (the “ Company ”) hereby gives notice of the following:

• 1 effective as of September 14, 2021, MNP have resigned as auditors of the Company;

• 2 effective upon MNP’s said resignation, MS were appointed as auditors of the Company in place of MNP;

• 3 the resignation of MNP as auditors of the Company and the appointment of MS as the successor auditors of the Company, have been considered and approved by the board of directors of the Company on the recommendation of the audit committee of the board of directors of the Company;

• 4 the auditors’ reports of MNP on the financial statements of the Company for the years ended June 30, 2020 and June 30, 2019 did not express a modified opinion; and

• 5 there have been no reportable events (as defined in NI 51-102).
