Further to Current Report No. 40/2022 of April 29th 2022, the ManagementBoard of KRUK S.A. ("Company") announces that on May 4th 2022 a firmagreement ("Agreement") was signed between the Company's subsidiaryInvestCapital Ltd. of Malta ("InvestCapital", "Buyer") and theSpanish-based financial company ("Seller"). The Agreement provides forthe purchase of an unsecured retail debt portfolio with a total nominalvalue of approximately EUR 132m (PLN 618m translated at the mid exchangerate published by the NBP for May 4th 2022). The Agreement is subject toa condition precedent that the debt portfolio covered by the Agreementwill be transferred to the Buyer upon payment of the Price. Other termsand conditions of the Agreement do not differ from those commonly usedin agreements of such type.
