The Management Board of KRUK S.A. (the "Company") announces that today,i.e. May 4th 2016, the Company received a statement from Piotr Krupa, anentitled shareholder, on exercise of the rights granted under Art. 11.5and Art. 11.8 of the Company's Articles of Association and onappointment, with effect from May 9th 2016, of Krzysztof Kawalec andPiotr Stępniak as members of the Supervisory Board of the new term ofoffice.

Below are presented the biographical notes of the new Supervisory Boardmembers.

1. Krzysztof Kawalec

Mr Krzysztof Kawalec, President of the Management Board of MagellanS.A., has been with the Company since 2001. He is a graduate of theTechnical University of Łódź (Faculty of Organisation and Management),where he was awarded an MA degree in Business Management. He completedpost-graduate courses in Enterprise Value Management and in ManagementAccounting and Controlling at the Warsaw School of Economics in 2002 and2003, respectively. In 2006, Mr Krzysztof Kawalec completed an MBAprogramme at PAM Center University of Łódź, University of Maryland. In1998-2001, he worked as a Manager at IFFP Sp. z o.o. (International FastFood Polska Sp. z o.o.) of Warsaw. He was Head of Contracting atMagellan S.A. from 2001 to 2002, and then member of the Magellan S.A.Management Board and CFO from 2002 to 2003. Mr Krzysztof Kawalec servedas Vice-President of the Company's Management Board and its ChiefOperating Officer from 2003, and has been President of the ManagementBoard of Magellan S.A. since July 1st 2008. In addition, he sits on theSupervisory Boards of MEDFinance S.A. and Magellan s.r.o and is a Memberof the Board of Magellan Central Europe s.r.o.. Since 2009, he has alsobeen a member of the Supervisory Board of KRUK S.A. of Wrocław.

2. Piotr Stępniak

Mr Piotr Stępniak is a graduate of Guelph University, Canada − BA doublemajor: Economics, Management. He completed Ecole Supérieure de Commercede Rouen, France: EMBA and Purdue University, USA − Master of Science inManagement. His career included the positions of President of the GETINHolding S.A. Management Board, and Vice-President of the Lukas Bank S.A.Management Board. He is a member of the Supervisory Boards of thefollowing entities: FM Bank PBP S.A., Skarbiec TFI S.A., SkarbiecHolding S.A., ATM Grupa S.A., Magellan S.A.

The Company further announces that, in accordance with theirrepresentations, Krzysztof Kawalec and Piotr Stępniak are not engaged inany activities competing with the Company's business, nor are theypartners in any partnership under civil law or other type of partnershipcompeting with the Company or members of a governing body of anycompeting company or legal entity. Furthermore, they are not entered inthe Register of Insolvent Debtors maintained pursuant to the Act on theNational Court Register.
