Results of General Meeting
Kropz plc (AIM: KRPZ), an emerging African phosphate producer, is pleased to announce that all the resolutions put to its General Meeting ("GM") held earlier today, 20 September 2024, were duly passed on a poll. A breakdown of proxy votes lodged prior to the GM will be available shortly on the Company's website.
As announced on 3 September 2024, the purpose of the GM was to provide the Company's directors authority to issue and allot shares and the disapplication in respect of pre-emption rights in respect of new ordinary shares which are to be issued pursuant to the Fundraising and the issue of Convertible Loan Notes as part of the Restructuring.
The Restructuring, Fundraising and the issue of the Convertible Loan Notes are also conditional on receiving approval from the South African Reserve Bank ("Exchange Control Approval"). The Company has not yet received Exchange Control Approval. The Company will make a further announcement upon receipt of the Exchange Control Approval in due course and will confirm the issue and Admission of the Fundraising shares at that time.
