Pursuant to Regulation 30(2) read with clause 7 of Para A of Part A of Schedule III of Securities and Exchange Board of India (LODR) Regulations, 2015 and SEBI Circular No SEBIIHOICFD/PoD2/CIR/P/ 0155 dated November 11, 2024, we wish to inform you that the Board of Directors on recommendation of audit committee in its meeting held on 7 th November ,2025 and on approval of Board of Directors in its meeting held on Saturday, 8 th November, 2025 has approved and considered Scheme of amalgamation by way of merger procedure under Chapter XV (Compromise, Arrangements and Amalgamations) of the Companies Act, 2013 and other relevant provisions of Companies Act and Securities and Exchange Board of India, Regulations of its Wholly Owned Subsidiary Kriti Auto & Engineering Plastics Private Limited ("Transferor Company") with Kriti Industries (India) Limited ("Transferee Company"), subject to necessary regulatory and statutory approvals.
