Pursuant to Regulation 30 read with Schedule III of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, the Board of Directors of the Company, at its meeting held on February 10, 2026, has accorded its consent for the sale, lease, licence, grant of easement rights (including Right of Way), or otherwise disposal of portion of land out of Plot No. 103, 104 and 105, Gat No. 357, Kharabwadi, Chakan, Pune, Maharashtra, to or in favor of Hydrolines (Bangalore) Private Limited.

The details and disclosures as required under Regulation 30 of the SEBI Listing Regulations, read with SEBI Master Circular No. HO/49/14/14(7)2025-CFD-POD2/I/3762/2026 (“SEBI Circular”), are provided in Annexure A.

	Name(s) of parties with whom the agreement is entered;		Hydrolines (Bangalore) Private Limited (“Hydrolines”)
	Purpose of entering into the agreement;		Sale, lease, licence, grant of easement rights (including Right of Way), or otherwise disposal of land approximately area adm. ‘2401.99 Sq. Mtrs.’ comprising of lands bearing (i) area adm. ‘549.46 Sq. Mtrs.’ from and out of Gat No. 357/103 totally adm. 01 Hectare and 60 Ares, (ii) area adm. ‘765.17 Sq. Mtrs.’ from and out of Gat No. 357/104 totally adm. 01 Hectare and 60 Ares and (iii) area adm. ‘1087.36 Sq. Mtrs.’ from and out of Gat No. 357/105 totally adm. 01 Hectare and 60 Ares situated at Village Kharabwadi Taluka Khed District Pune, to or in favor of Hydrolines (Bangalore) Private Limited. This will facilitate Hydrolines (Bangalore) Private Limited access to the nearby Talegaon Chakan road.
	Shareholding, if any, in the entity with whom the agreement is executed;		No
	Significant terms of the agreement (subject to negotiations)~~(in brief) special rights like right to~~ ~~appoint directors, first right to share subscription~~ ~~in case of issuance of shares, right to restrict any~~ ~~change in capital structure etc.;~~		Upon execution of Agreement to Sell, License Agreement or any other such agreement, till the execution of sale deed below terms shall be in force: 1. Hydrolines gets option to purchase the said land at offer price after adjusting consideration amount already paid. 2. The rights so granted by virtue of agreement to sell/license agreement or any other agreement/deed/document can be revoked by Company at any point of time at its discretion. 3. Hydrolines shall fence the properties only within the designated internal area. No additional modifications or changes will be permitted beyond this scope. 4. Existing outer stone wall shall be kept intact by Hydrolines. 5. Hydrolines shall not sublet, lease, license, or otherwise transfer, in whole or in part, to any third party under any circumstances before execution of Sale Deed.

	6. Hydrolines allowed to erect gate at the entrance point for security purposes. 7. If Hydrolines wishes to improve/develop the land parcel for way, can do so at their own cost. 8. Any mishap, accident, loss, or damage arising out of the use of the premises or during the execution of the development work shall be entirely responsibility of Hydrolines, and Hydrolines shall be fully liable for the same. Only upon execution of sale deed/transfer deed/conveyance etc., the ownership and all rights related to the portion of land shall transfer and vest into Hydrolines.
