Subject: Intimation of 31[st] Annual General Meeting, Book Closure and E-voting and attendance through VC/ OAVM facility

Pursuant to SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 (‘Listing Regulations’) as amended from time to time, we wish to inform as under:

1. 31[st] Annual General Meeting (AGM):

The 31[st] Annual General Meeting of the Company is scheduled to be held on Monday, September 20, 2021 at 12.00 p.m. (IST) through Video Conferencing (VC) / Other Audio Visual Means (OAVM) facility, in compliance with the provisions of the Companies Act, 2013 (the Act) and rules thereof as amended, read with Circular No. 14/2020 dated 8th April 2020, Circular No. 17/2020 dated 13th April 2020 issued by the Ministry of Corporate Affairs (“MCA”) followed by Circular No. 20/2020 dated 5th May 2020, and Circular No. 02/2021 dated 13th January 2021 (collectively referred to as “MCA Circulars”) and SEBI Listing Regulations as amended, read with the circular no. SEBI/HO/CFD/CMD1/ CIR/P/2020/79 dated May 12, 2020 and circular no. SEBI/ HO/CFD/CMD2/CIR/P/2021/11 dated January 15, 2021 (collectively referred to as “SEBI Circulars”).

In compliance with the MCA Circulars and SEBI Circular, the Notice of 31[st] AGM and the Annual Report for the financial year 2020-21 will be sent only by email to all those Members, whose email addresses are registered with the Company or the Registrar and Share Transfer Agents or their respective Depository Participants.

Further the Notice of 31[st] AGM and the Annual Report for the financial year 2020-21 will be available at the website of the Company: www.rkforge.in and the website of Stock Exchange: www.bseindia.com

2. Book Closure:

Pursuant to the provisions of the Companies Act, 2013 and Regulation 42 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, the Register of Members and Share Transfer Books of the Company will remain closed from Tuesday, September 14, 2021 to Monday, September 20, 2021 (both days inclusive) for the purpose of 31[st] AGM to be held on Monday, September 20, 2021.

3. Voting by electronic means:

Pursuant to the provisions of Section 108 of the Act read with Rule 20 of the Companies (Management and Administration) Rules, 2014 (as amended) and Regulation 44 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, the Company is pleased to offer e-voting facility to the Members through National Securities Depository Limited (NSDL) to exercise the right to vote by electronic means on all Resolutions proposed to be considered at 31[st] AGM and the business may be transacted through e-voting facility.

The Cut-off date has been fixed as Monday, September 13, 2021 for determining the eligibility of the Members to vote by remote e-voting or by e-voting at 31[st] AGM.

The detailed instructions for e-voting facility are mentioned in the Notice of 31[st] AGM which shall be made available to the members and public at large in due course.

The remote e-voting shall commence on Friday, September 17, 2021 at 9.00 a.m. (IST) and ends on Sunday, September 19, 2021 at 5.00 p.m. (IST) .

4. Attending the 31[st] AGM through VC / OAVM facility:

In view of the continuing COVID-19 pandemic, social distancing is a norm to be followed and the 31[st] AGM will be held without physical presence of the Members at a common venue pursuant to provisions of the MCA Circulars and SEBI Circular. Video Conferencing (VC) or Other Audio Visual Means (OAVM) facility for attending the AGM will be provided through National Securities Depository Limited (NSDL). The detailed instructions for attending the AGM through VC / OAVM facility are mentioned in the Notice of 31[st] AGM.

The attendance of the Members attending the AGM through VC / OAVM will be counted for the purpose of reckoning the quorum under Section 103 of the Act. Members can attend and participate in the Annual General Meeting through VC / OAVM only.
