With reference to the subject cited, this is to inform the Exchange that the Board of Directors of K&R Rail Engineering Limited, at their Meeting held on Thursday, the 12th Day of October, 2023, at the Registered office of the company situated at 3rd floor, Sai Krishna, Plot No. 797 A, Road No. 36, Jubilee Hills, Hyderabad, Telangana- 500033, duly considered and approved the as follows.

That 10,67,584 Optionally Convertible Redeemable Preference Shares (“OCRPS”) of face value of Rs.10/-each, be redeemed at a price of Rs. 796.19/- each, in one or more tranches, the redemption be made out of the profits and free reserves of the Company and sum equal to the Nominal amount of shares to be Redeemed be transferred to the capital redemption reserve account.

The meeting of the Board of Directors which commenced at 04.00 P.M (IST) concluded at 6.00 P.M (IST).
