Dear Sir/Madam,

Pursuant to Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, we hereby inform that Mr. Kulkarni Prahallada Rao, Chief Financial Officer (CFO) and Key Managerial Personnel (KMP) of the Company, has tendered his resignation on 05.03.2026 as he was met with an accident on 25" January 2026 and suffered with severe head contusion apart from injuries to left leg, injury over hand, abrasion over left side of abdomen. He was relieved from the services of the Company with effect from the close of business hours on March 05, 2026. @

The Company places on record its deep sense of appreciation for the services rendered by Mr. Kulkarni Prahallada Rao and for his contribution during his tenure as the CFO.

The information pursuant to Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, read with SEBI circular SEBI/HO/CFD/PoD2/CIR/P/0155 dated November 11, 2024 is enclosed herewith as Annexure -A.

Further, the Company has received confirmation from Mr. Kulkarni Prahallada Rao, that there are no material reasons for his resignation other than those mentioned in his resignation letters, which is enclosed herewith as Annexure-B.

1, K. Prahallada Rao working as CFO in K&R Rail Engineering Limited is hereby submit my resignation with immediate effect since I had met with an accident on 25" January, 2026 and was admitted in Life Plus Hospital and suffered severe head contusion apart from injuries to left leg, injury over hand, abrasion over the left side of abdomen

As I am not able to perform my duties and undergoing treatment due to the accident, the same has affected my mental cognitive skills and having frequent attacks of epileptic fits due to which I am not able to perform my duties and I hereby submit my resignation.
