Notice to the Members - proposed Postal Ballot
Pursuant to Section 108 and 110 of the Companies Act, 2013 and rules made thereunder, in compliance with General Circular Nos. 09/2023 dated September 25, 2023, 09/2024 dated September 19, 2024, and other relevant circulars issued by the Ministry of Corporate Affairs, Government of India ("MCA Circulars") read with other relevant circulars issued by the Securities and Exchange Barad or India (SEBI) (hereinafter collectively referred to as "the Circulars'), Members are hereby informed that KPIT Technologies Limited ("the Company") is proposing to seek consent of the members through postal ballot by way of remote e-voting facility to transact the business set out in the notice of Postal Ballot ("Notice") which shall be sent to the Members in due course. The detailed instructions related to e-voting shall be provided in the Notice.
In accordance with the aforesaid circulars, the Notice will be sent only in electronic form to those Members whose e-mail addresses are registered with the National Securities Depository Limited ("NSDL") and Central Depository Services (India) Limited ("CDSL") & KFin Technologies Limited ("KFin") i.e. Registrar and Transfer Agent of the Company.
The Notice will also be made available on the website of the Company at https:Uwww.kpit.com/ and on the website of the e-voting facility provider i.e. NSDL atwww.evoting.nsdl.com./ and on the website of the stock exchanges on which the securities of the Company are listed i.e. BSE Limited and National Stock Exchange of India Limited www.bseindia.com and www.nseindia.com respectively.
Members holding shares in physical mode and who have not updated their email addresses with the Company are requested to update the same by writing to [email protected]. Members holding shares in dematerialized mode are requested to register/update their email addresses with their respective Depository Participants.
Further, the Members who are holding shares in physical form or who have not registered their email addresses with the Company/ KFi n can cast their vote through remote e-voting, by following the detailed instructions which will be provided in the Notice.

ज्या सदस्यांचे समभाग फिजिकल मोडमध्ये आहेत आणि ज्यांनी त्यांचे ईमेल पत्ते कंपनीकडे अद्ययावत केलेले नाहीत त्यांना [email protected] वर लिहून तपशील अद्ययावत करण्याची विनंती केली जात आहे. डीमटेरिअलाइज्ड स्वरुपात समभाग धारण करणाऱ्या सदस्यांना त्यांच्या संबंधित डिपॉझिटरी पार्टीसिपटस्कडे त्यांचे ई–मेल पत्ते नोंदणी/अद्ययावत करण्याची विनंती केली जात आहे.
तसेच ज्या सदस्यांकडे प्रत्यक्ष स्वरूपात समभाग आहेत किंवा ज्यांनी त्यांचे ईमेल पत्ते कंपनी / केफिनकडे नोंदणीकृत केलेले नाहीत ते दूरस्थ ई-मतदानाद्वारे, नोटिसीमध्ये प्रदान केलेल्या तपशीलवार सूचनांचे पालन करून त्यांचे मत देऊ शकतात.
