We wish to inform you that, pursuant to relevant provisions of the Companies Act, 2013 read with the relevant Rules made thereunder and the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, the Board of Directors of the Company, at its meeting held on March 28, 2022 has designated Mr. Sachin Tikekar, Whole-time Director (DIN: 02918460) as the Joint Managing Director of the Company, with effect from April 1, 2022. His remuneration and extended roles and responsibilities are within the overall framework of remuneration, roles & responsibilities approved by shareholders in Annual General Meeting held on August 28, 2019.

Mr. Kishor Patil, our CEO and MD will continue to lead the overall business and operations of the company. Mr. Sachin Tikekar will continue to work with Mr. Kishor Patil and share responsibilities to drive growth and other corporate initiatives.

Brief profile of Mr. Sachin Tikekar along with other details of appointment are set out in Annexure A.

Mr. Tikekar has declared that he is not debarred from accessing the capital markets and/or restrained from holding any position/office of director in a company pursuant to order of SEBI or any other such authority.

He has beenPresident for KPIT in the US. He established the company’s now deeply rootedpresence in the US. He looks after global business development and geographyoperations of the company He has been in past the Chief People & OperationsOfficer with responsibility for imbibing KPIT culture in the organization,accelerating learning opportunities for employees globally and fosteringinnovation in attracting, nurturing and retaining talent.Over the years, he has spearheaded the successful integration of acquiredentities within KPIT. Before joining KPIT, Sachin worked with US Sprint andStrategic Positioning Group.He attended Temple University for Masters in Strategic Management andInternational Finance.
