Reference: - Disclosure of events & information pursuant to Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015

This is with reference to our intimation dated August 8, 2025, wherein we had informed about investment upto US$ 10 Million via "SAFE Instrument" in preferred stock of Helm.ai in one or more tranches, subject to review of synergy parameters upto the satisfaction of the Company. This investment shall not result in Helm.ai being a subsidiary of the Company, and the Company will not have any participative rights. Helm.ai builds advanced Al software for self-driving cars to make it safe, scalable, and cost-effective.

Now, we wish to inform you that, post satisfaction of the synergy parameters / conditions precedent, the Company through its wholly owned subsidiary in USA, has paid the subscription amount of US$ 10 million towards the "SAFE Instrument” which gives the Company the right to certain shares of Helm.ai’s Capital Stock (Safe Preferred Stock) basis occurrence of certain events like Equity Financing, IPO, Direct Listing etc.
