Subject - Update on Strategic investment in N Dream AG (“N-Dream”).

Ref - Disclosure of events & information pursuant to Regulation 30 SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, (“Listing Regulations”)

This is with reference to our earlier intimation dated November 9, 2023, regarding approval of the Board of Directors of the Company for the strategic investment of 13% in N-Dream. Further on July 24, 2024, we had informed about additional acquisition of 13% shareholding in N-Dream to take the total shareholding of KPIT to 26%. Further on August 8, 2025, we had informed about increasing stake in N-Dream to 51% at a consideration of Euro 6.5 million. Consequently N-Dream will become a subsidiary of the Company. Going forward the Company shall acquire a stake up to 90% in two or more tranches during the current financial year.

We wish to inform you that the Company, through its wholly owned subsidiary, KPIT Technologies (UK) Limited, has acquired further stake of 62.9%, taking the total of KPIT group shareholdings to 88.9% in N-Dream at a consideration of EURO 16.35 million. As a result, N-Dream has become a step-down subsidiary of the Company.

N-Dream AG is a Cloud based Game Aggregation Platform company, based in Switzerland. This strategic investment in N-Dream is part of KPIT’s roadmap to enable Automotive OEMs enhance the driver & passenger experience in the Cockpit of the Future. KPIT will offer complementary software integration & validation services to N-Dream’s Automotive clients. Both parties will collaborate towards offering value-added data products for Automotive OEMs, thereby enabling them to create additional monetizable experiences & features.
