This is with reference to our earlier intimation dated November 09, 2023, pursuant to which we had informed that Board of Directors of the Company had approved the initial strategic acquisition of 13% shareholding in N-Dream AG (N-Dream), a Cloud based Game Aggregation Platform company, based in Switzerland, with an option to increase the shareholding further.

In this connection, we wish to inform you that, the Company has acquired 13% shareholding in N-Dream for consideration as below post completion of all closing conditions:

• Euro 2.7 million as primary investment and

• Euro 0.3 million as secondary investment
